Proposed Transferee has the meaning set forth in Section 2.4(a).

• If any Transfer Shares subject to a Proposed Transfer are not purchased pursuant to Section ‎20.1 above and thereafter are to be sold to a Proposed Transferee (subject to Section ‎19), each respective Major Member may elect to exercise its Right of Co-Sale and participate on a pro rata basis in the Proposed Transfer as set forth in Section ‎20.2(b) below and otherwise on the same terms and conditions specified in the Transfer Notice.
