Assignment of License. This License may be assigned in whole or in part with the written consent of the County, which may be reasonably withheld. Notwithstanding the forgoing, Licensee may assign this License in whole or in part to a parent, subsidiary or affiliated company without the County’s consent. The terms, conditions and provisions of this License and the covenants contained within this License shall bind and inure to the benefit of the respective successors-in-interest of the parties hereto.
Assignment of License. Except with the prior written consent of Licensor, which consent will not be withheld unreasonably, Licensee must neither transfer nor assign this License or any rights hereunder, nor sublet the property or any portion of the property thereof, nor grant any interest, privilege or license whatsoever in connection with this License. Any such action taken without the express written approval, assignment and assumption of License by assignee will constitute a violation of this License by Licensee and a trespass by any subtenant of Licensee or assignee. Notwithstanding the foregoing, Licensee will have the right to assign its contractual interest to any entity controlling, controlled or under common control with Licensee, to any entity that acquires substantially all of the assets of Licensee licensed by the FCC to operate a wireless communications business and to any entity that acquires substantially all of Licensee’s assets in the Major Trading Area in which the facility is located, provided that, in all such instances, such assignee assumes in full all of Licensee’s obligations under this License. Licensee must notify Licensor with a minimum written 30 days’ prior notice. Such notice will not amend or modify the terms and conditions of this License.
Assignment of License. Licensees shall not have the right to assign --------------------- the license granted by this Article X to any third party, by agreement, operation of law, or otherwise, without the prior written consent of NDC, which may be withheld by NDC in its sole discretion; provided that such license may be assigned by a party to any company or concern acquiring substantially the entire business of such party relating to the eCommerce Marks licensed hereunder, provided such assignee first agrees in writing to be bound by all terms and conditions of such license including the obligations of such party hereunder.

Assignment of License. The License granted herein is personal to you and may not be transferred, sublicensed or assigned without Alibi’s prior written consent; provided, however, that you may transfer the License to the beneficial licensee that you identified in the Order or, if you are a Small Business Subscriber to the client that has paid for you to create a project in which the Recording(s) are used; provided further, that no such transfer shall relieve you of any of your obligations or liability hereunder; and provided further that the beneficial licensee may not further transfer, sublicense, or assign the License or any rights hereunder to any other party.

Assignment of License. After room assignment, students must sign a License Agreement or improper check-in charges may apply. The student agrees to pay all reasonable costs and expenses that shall be made or incurred by the College in enforcing this License Agreement. This Agreement entitles the Student to occupy space in College-owned student housing, not a specific room. The Student shall therefore comply with all College rules and regulations on room assignment, with the understanding that the College has the right to make all room assignments and reassignments as the College, in its sole discretion, may deem in the best interest of the College. The College assigns roommates based on various factors, including information provided by the Student. The Student shall use the room only as a student living accommodation. The College will provide the student with a room in a College residence hall during the term of the License Agreement, except in cases where a temporary assignment may be necessary for the duration of the Term or until a permanent space becomes available. The College will furnish the student with the use of a single bed, desk, chair, dresser and internet access. Individual rooms and Berkus Hall suites are equipped with one Micro-Fridge unit. Personal Micro-Fridge units are not permitted. Those living in the Berkus Hall suites must receive prior approval by Residential Education and Housing Services to bring their own personal Micro-Fridge for use in their individual single. The College shall not be responsible or liable directly or indirectly for loss of or damage to personal property resulting from fire, flood, electrical outages, theft, or any other cause which occurs in the Student’s room or common areas prior to, during, or subsequent to the Term and Period of Occupancy, even if the damage is alleged to have arisen out of the negligence of the College or its agents. Assignment of License. AT&T PCS shall execute and deliver to the --------------------- Company one or more instruments of assignment, substantially in the form of Schedule 3.2(a), sufficient to assign to the Company (or any Designated Purchasers) the AT&T PCS Sold License (such assignment being herein referred to as the "License Transfer"). ----------------
