Seco and the Promotion of Seco products. GoldStar Distributor status takes effect on January 1st of each year for which the Distributor qualifies and remains in effect for the entire year. GoldStar status is automatically renewed for as long as the Distributor meets all of the program requirements. Qualification for GoldStar Distribu- tor status is based on the previous year’s annual net purchases and discount status as computed for the measurement period ending on November 30th. Participation in and/or meeting the following elements is required to earn GoldStar Distributor status and the accompanying privileges. • $100,000 minimum annual purchases of Seco products. • Full conformance to all of the functional discount requirements. • Guaranteed same day shipments on locally stocked products. • Drop shipment from Seco direct to end-user customers of non-stocked items. • Maintain fully trained sales staff meeting all requirements of the Certified Pro3 Product specialist Program. See section 3.1 “Product Training”. • Demonstrated commitment to promote Seco Products and participate in Seco sponsored promotions. • Demonstrated commitment to positioning Seco as a primary carbide cutting tool line. In addition to the GoldStar functional discount, GoldStar Distributors have access to co-op funding equivalent of up to 1% of their annual purchases. ($10,000 maximum, See 3.7 for co-op funds program details). Distributors who do not continue to meet all of the functional discount requirements will maintain GoldStar status on a probationary basis for one measurement period following the non- conformance(s). The measurement periods are defined in Section 1.1. While on probation, the Distributor’s access to co-op funds is suspended.   • Market Data Client acknowledges that Agent may provide real-time or delayed quotations and other market information and messages (“Market Data”), which Market Data is provided to Agent by certain national securities exchanges and associations who assert a proprietary interest in Market Data disseminated by them but do not guarantee the timeliness, sequence, accuracy or completeness thereof. Client agrees and acknowledges that Agent shall not be liable in any way for any loss or damage arising from or occasioned by any inaccuracy, error, delay in, omission of, or interruption in any Market Data or the transmission thereof.

  • Reference Materials The Board agrees to continue to make available to employees the reference materials maintained by the district. Principals are encouraged to provide additional reference materials of high use in schools where feasible.

  • Trunk Data Exchange 65.9.1 Each Party agrees to service trunk groups to the blocking criteria in Section 64.3.4 in a timely manner when trunk groups exceed measured blocking thresholds on an average time consistent busy hour for a twenty- one (21) Day study period. The Parties agree that twenty-one (21) Days is the study period duration objective unless mutually agreed otherwise. The study period will not include a holiday.

  • Root-­‐zone Information Publication ICANN’s publication of root-­‐zone contact information for the TLD will include Registry Operator and its administrative and technical contacts. Any request to modify the contact information for the Registry Operator must be made in the format specified from time to time by ICANN at xxxx://xxx.xxxx.xxx/domains/root/.

  • Authoritative Root Database To the extent that ICANN is authorized to set policy with regard to an authoritative root server system (the “Authoritative Root Server System”), ICANN shall use commercially reasonable efforts to (a) ensure that the authoritative root will point to the top-­‐level domain nameservers designated by Registry Operator for the TLD, (b) maintain a stable, secure, and authoritative publicly available database of relevant information about the TLD, in accordance with ICANN publicly available policies and procedures, and (c) coordinate the Authoritative Root Server System so that it is operated and maintained in a stable and secure manner; provided, that ICANN shall not be in breach of this Agreement and ICANN shall have no liability in the event that any third party (including any governmental entity or internet service provider) blocks or restricts access to the TLD in any jurisdiction.

  • Market Abuse 13.1 The Client acknowledges that he will not enter into any transaction which falls within the definition of market abuses of Seychelles Securities Xxx 0000 as amended. This rule applies to all forms of market abuse such as xxxxxxx xxxxxxx (an abusive exploitation of privileged confidential information), the misuse of information and directors trading in shares of their own companies;

  • Usage Statistics The Distributor shall ensure that the Publisher will provide access to both composite system-wide use data and itemized data for the Licensee, the Participating Institutions, individual campuses and labs, on a monthly basis. The statistics shall meet or exceed the most recent project Counting Online Usage of NeTworked Electronic Resources ("COUNTER") Code of Practice Release,3 including but not limited to its provisions on customer confidentiality. When a release of a new COUNTER Code of Practice is issued, the Distributor shall ensure that the Publisher will comply with the implementation time frame specified by COUNTER to provide usage statistics in the new standard format. It is more than desirable that the Standardized Usage Statistics Harvesting Initiative (SUSHI) Protocol4 is available for the Licensee to harvest the statistics.

  • Appendix A – HRIS File Each Board shall provide to the Trustees of the ETFO ELHT directly, or provide authorization through its Insurance Carrier of Record to gather and provide to the Trustees, the following information within one (1) month of notification from the Trustees.
