SUMMARY OF THE PLAN The Debtor is a Maine corporation engaged in the businesses of road construction and commercial construction site work, sale of asphalt and concrete products, and related businesses. The Debtor owns multiple parcels of real estate as well as machinery and equipment that it currently uses, or in the past has used, to manufacture gravel, precast concrete forms and other items utilized in the construction business. Immediately prior to the Petition Date, the Debtor became the successor by merger with three affiliates, Ferraiolo Precast, Inc. (“Precast”), Ferraiolo Corp. (“Corp.”), and Ferraiolo Real Estate Company, Inc. (“REC”) each of which were engaged in a unified and integrated business enterprise with Debtor. The Plan provides for the settlement and satisfaction by the Debtor of all Classes of Claims identified in the Plan in the amounts and over the timeframes set forth therein. The Plan also describes the means by which the Debtor intends to satisfy its obligations under the same. Reference is made to the provisions of Articles III, IV, V, VI, VII, and VIII of the Plan for a more detailed statement of the terms of settlement and satisfaction of all Classes of Claims, and the means for doing so. By way of summary, the thrust of the Debtor’s plan is a reorganization around a streamlined business model that sheds unprofitable business assets and retains core assets and business] lines.
