Proscribed Activity has the meaning set forth in Section 7.1.

Proscribed Activity means, as determined by the Administrator, any action or inaction that violates the Wyoming Uniform Consumer Credit Code or the Wyoming Rental-Purchase Agreement Act.

Gearon may serve on civic or other charitable boards or committees, and manage personal investments, so long as such activities do not involve a Proscribed Activity and do not interfere in any material respect with the performance of his duties and responsibilities hereunder.
Gearon and ATSI are of the belief that the Restricted Period, the Proscribed Activity and the Covered Territory herein specified are reasonable, in light of the circumstances as they exist on the date upon which this Agreement has been executed, including without limitation the nature of the business in which ATSI is engaged and proposes to engage, the state of its product development and Gearon's knowledge of such business and his prior affiliations with and interest in ATSI.

More Definitions of Proscribed Activity

Proscribed Activity means either (1) soliciting others to invest in the common stock of Lincoln National Corporation ("LNC") for the purpose of effecting an acquisition of control of LNC or his directly investing in more than 1% of the common stock of LNC or (2) using confidential information or trade secrets (as described in paragraph 16 above) to assist any person, entity or group of persons which intends to or does attempt to effect an acquisition of control of LNC. The term "Control" shall be defined for purposes of this paragraph to have the meaning of control contained in Ind. Code ▇▇▇. Sec. 27-1-23-1(e).

Proscribed Activity means either (1) soliciting others to invest in the Common Stock of Lincoln for the purpose of effecting an acquisition of control of Lincoln or Employee's directly investing in more than 1% of the Common Stock of Lincoln or (2) using confidential information (as described in subparagraph b above) to assist any person, entity or group of persons which intends to or does attempt to effect an acquisition of control of Lincoln. The term "Control" shall be defined for purposes of this subparagraph to have the meaning of control contained in Ind. Code Ann. ▇▇c. 27-1-23-1(e) (West, 1996).

Proscribed Activity means, as determined by the Commissioner, any action or inaction that violates the Wyoming Residential Mortgage Practices Act.

Proscribed Activity means any and all activities related to the ------------------- ownership and/or operation of communications towers or sites, or the acquisition or management of communications towers or sites for third parties.
