In determining whether to approve such Outside Activity, Personal Trading Compliance and the Chief Compliance Officer will consider whether such service will involve an actual or perceived conflict of interest with client trading, place impediments on Loomis Sayles’ ability to trade on behalf of clients or otherwise materially interfere with the effective discharge of Loomis Sayles’ or the Access Person’s duties to clients.
At the time of the initial disclosure period, each Access Person must also submit information pertaining to: • His/her participation in any Outside Activity as described in Section 5.1 of the Code; • His/her participation in an Investment Club as described in Section 5.2 of the Code; • Holdings in Private Placements including hedge funds; and • A Related Person that is an officer and/or director of a publicly traded company; if any.
An Outside Activity approval can be obtained by completing an automated Outside Activity Form which can be found on the Legal and Compliance Intranet Homepage under ‘Personal Trading Compliance Forms’.
BlackRock has adopted policies, procedures, and controls designed to manage conflicts of interest, including the Global Conflicts of Interest Policy and the Global Outside Activity Policy.
If you receive approval, it is your responsibility to notify Compliance immediately if any conflict or potential conflict of interest arises in the course of the Outside Activity.
