Prohibited Activity definition

Prohibited Activity means any service or activity on behalf of a Competing Business that involves the planning, management, supervision, or providing of services that are similar in nature or purpose to those services Employee provided to the Company within the last 12 months of Employee’s employment with the Company or any other activities that would involve the use or disclosure of Confidential Information.
Prohibited Activity shall have the meaning ascribed to such term in Section 4.1 hereof.
Prohibited Activity means either Competitive Activity or Interference.

Prohibited Activity means a breach or default under the agreement with the department, the violation of any warranty provided by the eligible taxpayer to the department or the department of revenue, the claiming of a tax credit issued under this chapter for expenditures that are not qualified rehabilitation expenditures, the violation of any requirements of this chapter or rules adopted pursuant to this chapter, misrepresentation, fraud, or any other unlawful act or omission.
Prohibited Activity means any acquisition or disposition, in open market transactions, private transactions or otherwise, during the Valuation Period of any of the subject Traded Securities or any securities convertible into or exchangeable for or derivative of the subject Traded Securities or any other action, in the case of any of the foregoing, taken intentionally for the purpose of manipulating the price of the subject Traded Securities during the Valuation Period.

No Employment Rights The grant of the Award shall not be interpreted to form an employment contract between the Participant and the Company or the Participant's employer.

Prohibited Activity means engaging in conduct proscribed by Section 4.
