Pre-Closing Employee Obligations definition

Pre-Closing Employee Obligations is defined in Section 1.12 hereof.
Pre-Closing Employee Obligations means all obligations and liabilities, actual or contingent, with respect to Employees arising from their employment relationship with Manager accruing prior to the Closing, including any and all obligations or liabilities for Compensation and any other obligations and liabilities allocated to Seller pursuant to this Agreement.
Pre-Closing Employee Obligations means all obligations and liabilities, actual or contingent, with respect to Employees arising from their employment relationship with Seller or † Management Company prior to the Closing, including any and all obligations or liabilities: (i) for wages, salaries, accrued vacation, medical insurance, fringe benefits, and payroll taxes; (ii) for workers' compensation claims based on any real or alleged occurrence; (iii) for benefits and employer contributions to Employee Benefit Plans; and (iv) for claims or penalties under applicable laws governing employer/employee relations (including the National Labor Relations Act and other labor relations laws, wage, hours and employment standards laws, fair employment practices and anti-discrimination laws, the WARN Act, State WARN, ERISA and COBRA). The term Pre-Closing Employee Obligations includes any and all statutory and contractual liabilities in connection with any Employee Benefit Plan of any Seller or Affiliate of Seller other than † Management Company.

  • The Closing Balance Sheet (as defined in Section 6.3(o) hereof) shall reflect all Pre-Closing Employee Obligations not paid to the Surviving Corporation at the Closing pursuant to Section 1.7(a)(v).

For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Seller Benefit Plan means each Benefit Plan sponsored, maintained or contributed to by Seller or any of its Subsidiaries or with respect to which Seller or any of its Subsidiaries is a party and in which any Employee is or becomes eligible to participate or derive a benefit.

  • Pre-Closing Tax Return has the meaning set forth in Section 7.1(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Continuing Employee has the meaning set forth in Section 6.7(a).

  • Canadian Benefit Plans means all material employee benefit plans of any nature or kind whatsoever that are not Canadian Pension Plans and are maintained or contributed to by any Credit Party having employees in Canada.

  • Business Employee means any Person who is a present or former employee of Seller at any time prior to or on the Closing Date, and who provided or previously provided any services relating to the Business.

  • Purchaser Plans shall have the meaning set forth in Section 6.6(a)(v).

  • Excluded Employees has the meaning set forth in Section 2.5(a)(iv).

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Pre-Closing Tax Returns has the meaning specified in Section 8.04(a).

  • Transaction Bonuses means any transaction bonuses payable by the Sellers or their Affiliates on or after the Closing to the Transferred Employees.

  • Parent Benefit Plans has the meaning set forth in Section 5.07(b).

  • Pre-Closing Period means any taxable period ending on or before the Closing Date.

  • Pre-Closing Taxable Period means with respect to any tax, any applicable taxable period ending on or prior to consummation of the transactions contemplated hereby on the Closing Date or the allocable portion of any applicable taxable period that includes but does not end on the Closing Date.

  • Pre-Closing Tax Periods means any and all Tax periods that end on or before the Closing Date and the portion of any Straddle Period ending at the end of day on which the Closing occurs.

  • Pre-Closing Taxes means Taxes of the Company for any Pre-Closing Tax Period.
