Buyer Benefit Plans has the meaning set forth in Section 6.10(f).

• True and complete copies of all Buyer Benefit Plans including, but not limited to, any trust instruments and insurance contracts forming a part of any Buyer Benefit Plans and all amendments to them, IRS Forms 5500 (for the three most recently completed plan years), current summary plan descriptions, and the most recent IRS determination or opinion letters with respect to them, have been made available to Company, in each case, to the extent applicable.

• Buyer and Buyer Bank have the authority, and the Buyer Benefit Plans permit, the Buyer and the Buyer Bank to honor the covenants of Buyer and Buyer Bank with respect to Company and Company Bank’s employees included in this Agreement.

Buyer Benefit Plans has the meaning set forth in Section 7.1(a).

Buyer Benefit Plans means all benefit and compensation plans, contracts, policies or arrangements (i) covering current or former employees of Buyer or any of its Subsidiaries, (ii) covering current or former directors of Buyer or any of its Subsidiaries, or (iii) with respect to which Buyer or any Subsidiary has or may have any liability or contingent liability (including liability arising from affiliation under Section 414 of the Code or Section 4001 of ERISA) including, but not limited to, “employee benefit plans” within the meaning of Section 3(3) of ERISA, and deferred compensation, stock option, stock purchase, stock appreciation rights, stock based, incentive and bonus plans.

Buyer Benefit Plans means all welfare benefit plans, contracts, policies or arrangements (i) covering employees of Buyer or any of its Subsidiaries, (ii) covering current or former directors of Buyer or any of its Subsidiaries, or (iii) with respect to which Buyer or any Subsidiary has or may have any liability or contingent liability (including liability arising from affiliation under Section 414 of the Code or Section 4001 of ERISA), including, but not limited to, “employee benefit plans” within the meaning of Section 3(3) of ERISA.

Buyer Benefit Plans shall be as defined in Section 6.7(b).

Buyer Benefit Plans shall have the meaning as set forth in Section 5.19(a).

Buyer Benefit Plans has the meaning given to such term in Section 7.7(e).

Buyer Benefit Plans means Benefit Plans sponsored, maintained, contributed to by or required to be contributed to by Buyer or its applicable Affiliate.
