Parent Equity Award definition

Parent Equity Award means a Parent Stock Option or a Parent Restricted Share, as the case may be.

Parent Equity Award means any form of compensation (including deferred compensation) that is or may be paid or settled in Parent Common Stock.

Parent Equity Award means any Parent Option or other award issued pursuant to the Parent Equity Plans.

Examples of Parent Equity Award in a sentence

• Each award with respect to Parent Common Units that is outstanding immediately prior to the Effective Time under the Parent Long-Term Incentive Plan (“ Parent Equity Award ”) and consisting of Parent Performance Units (“ Parent Legacy PU Award ”) shall, as of the Effective Time, be subject to substantially the same terms that were in effect immediately prior to the Effective Time; provided that such Parent Legacy PU Award shall be subject to the Performance Metric Adjustment.

• Each Parent Equity Award is subject to service based vesting or performance based vesting and shall be settled in cash with respect to a pro-rata portion of such award in accordance with its terms as soon as practicable, but no later than ten business days after the applicable Transfer Time.

• The Parties shall, and shall cause their respective Subsidiaries to, use commercially reasonable efforts to take all actions necessary or appropriate so that each outstanding Parent Equity Award granted under any Parent Equity Plan shall be adjusted as set forth in this Section 13.02 as of immediately prior to the Distribution.

• Except as otherwise provided by this Article IV, each adjusted Parent Equity Award or assumed and converted SpinCo Equity Award shall be subject to the same or substantially similar terms after the Effective Time as were applicable to the corresponding Parent Equity Award immediately prior to the Effective Time.

• Each such Existing Parent Equity Award shall be settled in accordance with the terms and conditions of such Existing Parent Equity Award.

More Definitions of Parent Equity Award

Parent Equity Award means any Parent Option, share of Parent Restricted Stock, Parent RSU or Parent PSU.

Parent Equity Award means, collectively, the Parent Stock Options and the Parent RSU Awards.

Parent Equity Award means, as of any determination time, each Profits Interest and each other award to any current or former director, manager, officer, employee, individual independent contractor or other service provider of Parent or any Group Company of rights of any kind to receive any Equity Security of Parent or benefits measured in whole or in part by reference to Equity Securities of Parent under any Parent Equity Plan or otherwise that is outstanding.
