The Company will take all action necessary to effect the cancellation and exchange, as applicable, of Company RSUs, Company Options and Company SARs upon the Effective Time and to give effect to this Section 2.8 (including the satisfaction of the requirements of Rule 16b-3(e) promulgated under the Exchange Act).

More Definitions of Company Options

Company Options means any options to purchase shares of Company Common Stock outstanding under any of the Company Stock Plans.

Company Options means options to purchase shares of Company Common Stock from the Company (whether granted by the Company pursuant to the Company Equity Plan, assumed by the Company in connection with any merger, acquisition or similar transaction or otherwise issued or granted and whether vested or unvested).

Company Options means all issued and outstanding options (whether or not vested) to purchase or otherwise acquire shares of Company Capital Stock.
