Parent or its applicable Affiliate may withhold from any amounts payable under this Agreement, in connection with the treatment of your Company Options, Company RSU Awards and Company PSU Awards in accordance with the terms of the Merger Agreement or your employment with Parent and its Affiliates, such federal, state, local or foreign taxes, including income, employment and social security taxes, as required to be withheld pursuant to any applicable law or regulation.
