Parent RSU definition

Parent RSU means each restricted stock unit representing the right to vest in and be issued shares of Parent Common Stock by Parent, whether granted by Parent pursuant to a Parent Equity Plan, assumed by Parent in connection with any merger, acquisition or similar transaction or otherwise issued or granted and whether vested or unvested.
Parent RSU means a restricted stock unit issued under the Parent Stock Compensation Plan.
Parent RSU has the meaning set forth in Section 4.3(c).

  • Following the Effective Time, if any Post-Separation Parent RSU Award shall fail to become vested, such Post-Separation Parent RSU Award shall be forfeited to Parent, and if any SpinCo RSU Award shall fail to become vested, such SpinCo RSU Award shall be forfeited to SpinCo.

  • Parent and SpinCo shall establish an appropriate administration system to administer, in an orderly manner, the vesting and forfeiture of, and the withholding and reporting requirements with respect to, Post-Separation Parent RSU Awards and SpinCo RSU Awards, respectively.

More Definitions of Parent RSU

Parent RSU means each award of restricted share units with respect to Parent Common Stock granted under the Parent Equity Plan (other than Parent PRSUs).
