This letter is furnished by us solely for your benefit, and the benefit of The Chase Manhattan Bank, as Trustee for the California Trust, in connection with the Registration Statement for the public offering of interests in the Tax Exempt Securities Trust and this letter may not be relied upon by any other person without our prior written consent.
Additionally, the Company shall be deemed to have issued or sold Ordinary Shares if the Company in any manner issues or sells any Convertible Securities, whether or not immediately convertible (other than in an issuance of Exempt Securities), and the price per share for which such Ordinary Shares are issuable upon such conversion or exchange is less than the Conversion Price then in effect, then the Conversion Price shall be equal to such price per share.
At no time, however, will the total amount received by the Depositor for services rendered to all series of Tax Exempt Securities Trust in any calendar year exceed the aggregate cost to the Depositor of supplying such services in such calendar year, except to the extent permitted by law.
This holding period restriction does not apply to Exempt Securities or Exempt Transactions.
If prior to such exercise, the Company shall have issued any Common Stock or Convertible Securities (other than Exempt Securities) at an effective price per share less than the closing bid price of the Common Stock on the date of this Option, the Exercise Price shall be changed to a new Exercise Price equal to such lower effective price per share.
