Except as described in the SEC Reports, there are no securities or instruments issued by or to which the Company is a party containing anti-dilution or similar provisions that will be triggered by the issuance of the Company Securities.
Company Securities subject to legend removal hereunder shall be transmitted by the Transfer Agent by crediting the account of the Purchaser’s prime broker with DTC through its Deposit/Withdrawal at Custodian system, if available, as directed by such Purchaser.
Certificates (or book entries) evidencing the Company Securities received hereunder shall not bear any restrictive legend, or such legend shall be removed, as applicable, at such time as such securities may be sold pursuant to an effective registration statement and otherwise in accordance with applicable law and this Agreement, or at such time as such legend is no longer required under applicable securities laws.
For the avoidance of doubt, no holder of Company Securities will receive any consideration under or in connection with this Agreement unless they are Sellers who have executed and delivered Share Exchange Agreements, and then only with respect to the issued and outstanding Company Ordinary Shares that they own.
Neither the Company nor any person acting on the Company’s behalf has offered or sold any securities, or has taken any other action, which would reasonably be expected to subject the offer, issuance or sale of the Company Securities, as contemplated hereby, to the registration provisions of the Securities Act.
