Company Securities definition

Company Securities has the meaning set forth in Section 3.02(b)(ii).
Company Securities has the meaning set forth in Section 4.5(b).
Company Securities means (i) the Common Stock, (ii) securities convertible into or exchangeable for Common Stock and (iii) any options, warrants or other rights to acquire Common Stock.

  • Except as described in the SEC Reports, there are no securities or instruments issued by or to which the Company is a party containing anti-dilution or similar provisions that will be triggered by the issuance of the Company Securities.

  • Company Securities subject to legend removal hereunder shall be transmitted by the Transfer Agent by crediting the account of the Purchaser’s prime broker with DTC through its Deposit/Withdrawal at Custodian system, if available, as directed by such Purchaser.

  • Certificates (or book entries) evidencing the Company Securities received hereunder shall not bear any restrictive legend, or such legend shall be removed, as applicable, at such time as such securities may be sold pursuant to an effective registration statement and otherwise in accordance with applicable law and this Agreement, or at such time as such legend is no longer required under applicable securities laws.

  • For the avoidance of doubt, no holder of Company Securities will receive any consideration under or in connection with this Agreement unless they are Sellers who have executed and delivered Share Exchange Agreements, and then only with respect to the issued and outstanding Company Ordinary Shares that they own.

  • Neither the Company nor any person acting on the Company’s behalf has offered or sold any securities, or has taken any other action, which would reasonably be expected to subject the offer, issuance or sale of the Company Securities, as contemplated hereby, to the registration provisions of the Securities Act.


More Definitions of Company Securities

Company Securities means any equity interest of any class or series in the Company.
Company Securities means, collectively, the Company Shares and the Company Convertible Securities.
Company Securities means (i) Ordinary Shares and other equity securities of the Company, (ii) securities convertible into or exchangeable for Ordinary Shares or other equity securities of the Company, (iii) any options, warrants or other rights to acquire Ordinary Shares (including any awards under the Employee Equity Incentive Plans) or other equity securities of the Company and (iv) any depository receipts or similar instruments issued in respect of Ordinary Shares and other equity securities of the Company.
Company Securities shall have the meaning set forth in Section 3.05(c).
Company Securities means the Company Common Stock, the Company Preferred Stock, the Company Options and the Company Warrants.
Company Securities means (i) any Common Stock and (ii) any other securities of the Company entitled to vote generally in the election of directors of the Company.
