Company Capital Stock definition

Company Capital Stock means the Company Common Stock and the Company Preferred Stock.

Company Capital Stock means the Company Common Stock and any other shares of capital stock, if any, of the Company, taken together.

Company Capital Stock means the Company Shares, the Company Preferred Stock and any other shares of capital stock of the Company.

• All shares of Company Capital Stock, all Company Options, and all other securities that have ever been issued or granted by any Acquired Company have been issued and granted in compliance with: (i) all applicable securities laws and all other applicable Legal Requirements; and (ii) all requirements set forth in all applicable Contracts (including the applicable Company Incentive Plan and any Contract relating to any Company Option) and in all applicable Charter Documents.

• The Company shall have delivered evidence in form and substance reasonably satisfactory to Parent that: (a) this Agreement has been duly adopted and approved by: (i) holders of Company Capital Stock representing at least 90% of the outstanding shares of Company Common Stock, (ii) each Key Stockholder and (iii) holders of Company Capital Stock representing 85% of the outstanding shares of Company Preferred Stock; and (b) no more than 2% of the shares of Company Capital Stock constitute Dissenting Shares.

• As of the Effective Time, the stock transfer books of the Company shall be closed and there shall not be any further registration of transfers of shares of Company Capital Stock thereafter on the records of the Company.

• Prior to the Effective Time, the Company shall not, except with the prior written consent of Parent, make any payment with respect to any such demand for appraisal of shares of Company Capital Stock or settle, offer to settle or otherwise negotiate any such demand.

• Prior to the Effective Time, the Company shall give Parent: (i) prompt notice of: (A) any demands for appraisal of shares of Company Capital Stock pursuant to the DGCL received by the Company; (B) any withdrawal of any such demand; and (C) any other instrument or notice served on or otherwise delivered to the Company pursuant to the DGCL; and (ii) the opportunity to direct all negotiations and proceedings with respect to any such demand for appraisal or any such other instrument or notice.

Company Capital Stock means the issued and outstanding shares of Company Common Stock, Company Preferred Stock and any other classes and series of capital stock of Company (in each case on a fully diluted, as-converted to Company Common Stock basis, including all shares of such stock that are issuable upon the exercise of any outstanding Company Rights).

Company Capital Stock has the meaning set forth in Section 4.03.
