Event Beyond Our Control definition

Event Beyond Our Control means an event or circumstance affecting You (in the case of an Event Beyond Your Control) or Us (in the case of an Event Beyond Our Control), and in each case that is beyond the direct control or influence of that affected person, including acts of God, government orders, court orders, emergencies, operational necessity, required maintenance, breakdowns at power stations or elsewhere, insufficient volumes of electricity or any other problem with a distribution system or the electricity transmission system (as defined in section 3 of the Electricity Industry Act 2004 (WA)) but excludes Your or Our inability to pay any money due under this Contract for any reason whatsoever.
Event Beyond Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat of or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks;

  • If such an Event Beyond Our Control occurs and We consider it appropriate to do so, We may notify You of the Event Beyond Our Control by any reasonable means, including by a public announcement.

  • If an Event Beyond Our Control occurs and prevents Us from performing any of Our obligations under this Contract to any extent, then We are not required to perform that obligation to the extent and for as long as We are prevented by that Event Beyond Our Control.

  • If an Event Beyond Our Control occurs and prevents Us from performing any obligations under this Contract to any extent, then We must inform You as soon as reasonably practicable, and We are not required to perform that obligation to the extent and for as long as are prevented by that Event Beyond Our Control.

  • We shall have no liability for any failure to deliver the Goods to the extent that such failure is caused by an Event Beyond Our Control, your failure to provide us with adequate delivery instructions for the Goods or any relevant instruction related to the supply of the Goods.

  • We shall not be liable to you as a result of any delay or failure to perform our obligations under this Contract as a result of an Event Beyond Our Control.

  • We will resume our obligations once the Event Beyond Our Control no longer prevents us doing so.

  • We have no responsibility or liability to you for any failure to perform our obligations under this Agreement; to the extent that such failure is caused by an Event Beyond Our Control.

  • We shall not be liable for any delay in delivery of the Goods that is caused by an Event Beyond Our Control (as defined below) or your failure to provide us with adequate delivery instructions or any other instructions that are relevant to the supply of the Goods.

  • If the Event Beyond Our Control prevents us from providing any of the Services and/or Goods for more than 4 weeks, we shall, without limiting our other rights or remedies, have the right to terminate this Contract immediately by giving written notice to you.

  • Barrisol Welch shall have no liability for any failure to deliver the Goods to the extent that such failure is caused by an Event Beyond Our Control or the Customer’s failure to provide Barrisol Welch with adequate delivery instructions for the Goods or any relevant instruction related to the supply of the Goods.


More Definitions of Event Beyond Our Control

Event Beyond Our Control refers to any and all activities or events that we would be unable to prevent under normal circumstances. This shall include, without exception, any and all strike activities, lockouts or other third-party actions that impact commercial operations; civil unrest or uprisings; invasions, terrorist attacks or the threat thereof, wars (whether declared or non- declared), threats of war or preparations for war; fires, explosions, storms, floods, earthquakes, geological subsidence, pandemics, epidemics or other natural disasters; theft or breakdown of public and private telecommunication networks; suspension of a third-party website; the inability to use trains, ships, airplanes, motorized vehicles, or other means of public and private transport; destruction or damage of property; travel restrictions; cyberattacks and other IT measures; non- compliance with laws or with the requirements of government agencies; breakdowns of plant facilities and machinery; delayed performance by suppliers or subcontractors – also in cases in which such Events Beyond our Control affect the Service Providers and Shipping Companies.
Event Beyond Our Control means unusual or unforeseeable circumstances beyond our control or an event which we or our suppliers, even with all due care, could not foresee or forestall. These can include, for example, war, threat of war, piracy, riot, industrial dispute, the act of any government or other national or local authority including airport, port and river authorities, lock closure, closure of airports or ports, actual or threatened terrorist activity and its consequences, natural or nuclear disaster, volcanic eruption or ash cloud, fire, bad weather (actual or threatened), epidemic or other contagious disease, change to Foreign Office advice to advise against travel to destination, significant building work ongoing outside of your accommodation (such as resort development) or failure in internet connections. If, after your departure, a significant part of your pre-booked holiday cannot be provided, you will be offered a suitable alternative if possible. If appropriate, we will also pay you compensation in accordance with the table under clause 9 below, unless the reason for the change is due to events beyond our control. If it is not possible to offer you a suitable alternative or, for good reasons, you do not accept the alternative arrangements, you will have the right to cancel your booking. In this event, you will have the right to be returned by the same means of transport to your original departure point at no extra cost provided that transport is available. This does not impose an obligation on us to make specific transport arrangements for you if none are available.

  • Event Outside Our Control means any act or event beyond WRAS’s reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks [or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;

  • Benchmark Transition Event means the occurrence of one or more of the following events with respect to the then-current Benchmark:

  • Network Termination Point (NTP) means the physical point at which a subscriber is provided with access to a public communications network; in the case of networks involving switching or routing, the NTP is identified by means of a specific network address, which may be linked to a subscriber number or name;

  • Barrier Event means that R (final) is lower than the Barrier.
