Employees and Subcontractors definition

Employees and Subcontractors. We reserve the right to assign employees and hire subcontractors to perform the Services under this Contract. We will be solely responsible for delegating appropriate tasks and paying our employees and subcontractors their salaries and/or professional fees. We will be solely responsible for securing appropriate insurance and other benefits for our employees and subcontractors. We will provide our employees and subcontractors with all the tools, equipment, and materials necessary for the performance of the Services. We will provide you with the contact details of our subcontractors. However, you are restricted from directly making instructions to the subcontractors without our prior consent and approval. Access to Premises and Facilities: You will provide us, including our employees and subcontractors, all reasonable access to the Premises for the purpose of this Contract. We will not enter any other area in the site location which is not included in the Premises described herein. You will further allow us to use your electric and water facilities for the performance of Services under this Contract, and you will provide us reasonable access to the comfort room nearest to the Premises.

  • As permitted and as may be required by law, Prevalent Employees and Subcontractors with access to Subscriber Data must pass a background check, which can be performed by Prevalent or by a contractor that is authorized by Prevalent to perform background checks.

  • Subcontractors means subcontractors or subconsultants at any tier that are under the direct or indirect control or responsibility of the Contractor, and includes all independent contractors, agents, employees, authorized resellers, or anyone else for whom the Contractor may be liable at any tier, including a person or entity that is, or will be, providing or performing an essential aspect of this Contract, including Contractor’s manufacturers, distributors, and suppliers.

  • Contractors means the bidder whose bid has been accepted by the COE;

  • Contractor Personnel means Contractor’s employees and subcontractors (as well as any employees or subcontractors of those subcontractors) performing the Services.

  • Other Contractors means any contractor (other than the entity which executed this Contract or its Subcontractors) who or which has a contract with the City for work on or adjacent to the building or Site of the Work.

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Covered subcontractor means any entity that has a subcontract valued in excess of $1 million, except a subcontract for the acquisition of commercial items, including commercially available off-the-shelf items.

  • Principals or Key Personnel means and refers to those principals and key personnel of the Contractor, and its or their agents, as described in C.G.S. §§ 4-250(5) and 4-252(c)(1)(B) and (C).

  • Major Subcontractor means a Subcontractor who enters into a Major Subcontract.

  • Supplier’s Team means the Supplier and, where applicable, any Relevant Person, and all other employees, consultants, agents and sub-contractors which the Supplier engages in any way in relation to the supply of the Services or the Goods; and

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • Sub-Contractors means those persons furnishing labor or materials for the Project pursuant to the Sub- Contracts.

  • Key means any device designed and constructed to provide a method of operating a locking system which is designed and constructed to be operated only by that device.

  • HUB Subcontracting Plan or “HSP” means written documentation regarding the use of subcontractors, which is required to be submitted with all responses to state agency contracts with an expected value of $100,000.00 or more where subcontracting opportunities have been determined by the state agency to be probable. The HUB subcontracting plan subsequently becomes a provision of the awarded Contract and shall be monitored for compliance by the state agency during the term of the Contract.

  • Provider Personnel means all persons employed or engaged by the Provider together with the Provider’s servants, agents, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, Provider’s and Sub-Contractors) used in the performance of its obligations under this Agreement;

  • Suppliers means any person or entity, including affiliates of the Company, who locates, purchases, sells, stores and/or transports natural gas or its equivalent for or on behalf of the Company. Suppliers may include, but not be limited to, interstate pipeline transmission companies, producers, brokers, marketers, associations, intrastate pipeline transmission companies, joint ventures, providers of LNG, LPG, SNG, and other hydrocarbons used as feed-stock, other distribution companies and end-users.

  • Sub-subcontractor means a Person engaged by a Subcontractor to perform a portion of the Trade Contractor Work. The term “Sub-Subcontractor” also includes any lower tier Persons engaged by Sub-Subcontractor to perform a portion of the Trade Contractor Work.

  • Architect/ consultants means and refer to the Consultants appointed by NU as Architect Consultants.

  • Consultants means employees and third party contractors which SAP utilizes to provide Services to Customer.

  • The Contractor or Contractors means the firm, company or person engaged by the SBIIMS to carry out the work. It shall also include their legal representative(s), successors or assigns.
