Supplier’s Team definition

Supplier’s Team means the Supplier and, where applicable, any Relevant Person, and all other employees, consultants, agents and sub-contractors which the Supplier engages in any way in relation to the supply of the Services or the Goods; and

Supplier’s Team means the Supplier’s Manager and all employees, consultants, agents and subcontractors engaged in relation to the Services and who are appointed under clause 3.3; and

Supplier’s Team the Supplier's Manager, the Key Personnel and all Personnel of the Supplier involved in providing the Services from time to time during the Term;

Examples of Supplier’s Team in a sentence

• The Supplier shall ensure that all members of the Supplier’s Team or professional advisors or consultants are aware of the Supplier’s confidentiality obligations under this Agreement.

• The Supplier warrants that it has in place contractual arrangements with all members of the Supplier’s Team assigning to the Supplier their Intellectual Property Rights and waiving their moral rights (if any) in the Deliverables such that the Supplier can enter into the assignments, licences and waivers set out in this clause 6.

• The Supplier warrants that it has in place contractual arrangements with all members of the Supplier’s Team assigning to the Supplier their Intellectual Property Rights and waiving their moral rights (if any) in the Deliverables such that the Supplier can enter into the assignments, licences and waivers set out in this clause 10.

• The Supplier shall indemnify the British Council from and against all loss or liability in connection with physical damage to property, death or personal injury caused by or arising out of the negligence of, or breach of this Agreement by, the Supplier or any member of the Supplier’s Team.

• If any of the Supplier, the Supplier’s Team or the Supplier’s Team’s directors or shareholders (where applicable) is listed in a Screening Database for any of the reasons set out in clause 15.4, or breaches any of its obligations set out in clauses 15.1, 15.2, 15.3 or 15.5; then the Supplier shall promptly notify the British Council of any such breach(es) and the British Council shall be entitled to takes the steps set out at clause 15.7 below.

• This right to audit also applies to payment of wages and other secondary benefits to Supplier’s Team.

• Supplier shall, and shall cause Supplier’s Team to, only use the Confidential Information, whether in whole or in part, to provide Services to Rosebel, or pursuant to the written instructions of Rosebel.

• Supplier shall, and shall cause Supplier’s Team to, at any time, upon the request of Rosebel: cease all use of the Confidential Information; and return to Rosebel or, at Rosebel’s request, irrevocably erase or destroy, in a secure manner, the Confidential Information, and any copies thereof except as may be otherwise required by law.

• Supplier shall provide to Rosebel, within five (5) days of Rosebel’s request, a certificate signed by one of its officers and signed by each Supplier’s Team member having had possession or control of the Confidential Information through Supplier certifying that the foregoing actions have been taken in respect of the Confidential Information.

• Supplier’s Team shall adhere to all security requirement/regulations of the Purchaser during the execution of the work.

More Definitions of Supplier’s Team

Supplier’s Team means any employees, sub-contractors or agents of the Supplier employed or appointed in connection with the Supplies under this Contract;

Supplier’s Team. The Supplier’s Manager and any employees, consultants, agents and/or sub-contractors which the Supplier engages in relation to the Services.

Supplier’s Team means Party B and, where applicable, any Relevant Person, and all other employees, consultants, agents and sub-contractors which Party B engages in any way in relation to the supply of the Services or the Goods; and
