Competing Entity definition

Competing Entity means any entity which presently or during the period referred to above engages in any business activity the Company is then engaged in or proposes to be engaged in; and (ii) the term "Territory" shall mean any geographic area in which the Company conducts business during such period.
Competing Entity means any entity which presently or during the period referred to above engages in any business activity in which the Company or any of its Affiliates is then engaged; and (ii) the term “Territory” shall mean any geographic area in which the Company or any of its Affiliates conducts business during such period; provided, however, that, during the Consideration Period, the term “Territory” shall mean only Los Angeles County, California and New York County, New York. Notwithstanding the foregoing, in the event that Executive elects, during the Consideration Period, to either (a) compete with the Company, or (b) have an interest in, be employed by, be engaged in or participate in the ownership, management, operation or control of, or act in any advisory or other capacity for, any Competing Entity which conducts its business within the Territory (the foregoing subsections (a) and (b), collectively, the “Competitive Activities”), then, at least ten (10) business days prior to commencing any such Competitive Activities, Executive shall deliver to the Company a written notice (the “Competition Notice”) advising the Company of (i) Executive’s intent to commence Competitive Activities, and (ii) the commencement date for such Competitive Activities. Executive’s election to participate in any Competitive Activities during the Consideration Period shall not be deemed a breach of this Agreement; rather, in the event Executive delivers the Competition Notice (and thereafter engages in Competitive Activities prior to the expiration of the Consideration Period), then (x) Executive shall forfeit any Severance Payment, Pro Rated Bonus or Benefits Payment otherwise payable pursuant to Section 4.2 or 4.3 above, and (y) the Company shall have no obligation to make any Severance Payment or Pro Rated Bonus to Executive or any Benefits Payment under Section 4.2 or 4.3.

  • For purposes of this Agreement, a Competing Entity is limited to an entity that derives a significant amount or percentage of its total annual revenue from the sale of virtual product development software and related services and competes in one or more of the same geographic markets as the Company.

  • Notwithstanding the foregoing, Executive shall be permitted to own up to a five percent (5%) equity interest in a publicly traded Competing Entity.

  • Competing Entity" means any business entity engaged in the development, design, manufacture, marketing, distribution or sale of molecular diagnostics.

  • Restricted Area" means any geographic location where if Employee were to perform any Restricted Activities for a Competing Entity in such a location, the effect of such performance would be competitive to the Company.

More Definitions of Competing Entity

Competing Entity means any Person which presently or hereafter during the term hereof is materially engaged in the Business; and (ii) the term "Territory" shall mean the Caribbean and the area within a three hundred mile radius of (a) the terminal facility operated by an Affiliate of the Subsidiary at Point Xxxxxx, Nova Scotia, and (b) any terminal hereafter operated by the Subsidiary or any Affiliate of the Subsidiary.
Competing Entity means any entity or person that is engaged, directly or indirectly, in a Competitive Business.
Competing Entity means any Person which presently or hereafter during the term hereof is materially engaged in the Business; provided, however, that "Competing Entity" shall not include Statia Terminals Cayman, Inc. or its subsidiaries or other affiliates owned, directly or indirectly, by Statia Terminals Cayman, Inc.
Competing Entity means any entity which is presently or hereafter principally engaged in any business of the type or character engaged in or proposed to be engaged in by the Company from time to time during Employee’s term of employment under this Agreement, including without limitation, any business engaged in the discovery and development of human therapeutic products for any of the same targets and for indications as products the Company had in development or was marketing at any time during Employee’s term of employment under this Agreement.
Competing Entity means any entity which is presently or hereafter engaged in any business of the type or character engaged in by the Company or any of its affiliates including, without limitation, (A) the business of developing, marketing or selling software programs which use molecular simulation or analysis to predict chemical or biological activities; (B) the business of developing, marketing or selling software programs that store, manage or analyze chemical or biological information or (C) any business which is otherwise competitive with a business conducted by the Company or any of its affiliates; and
Competing Entity means any entity which is presently or hereafter engaged in any business of the type or character engaged in by the Company or any of its subsidiaries including, without limitation, (A) the business of providing to third parties products or services for pre-clinical drug discovery or chemical development which (x) include the outlicensing of small molecule libraries, the undertaking of drug candidate screening, and/or related drug optimization activities, or (y) utilize combinatorial chemistry or high-throughput screening technologies in offering pre-clinical drug discovery services or (B) any business which is otherwise competitive with a business conducted by the Company or any of its subsidiaries; and
Competing Entity shall have the meaning set forth in Section 10.1(a) hereof.
