Competing Entity definition

Competing Entity means any entity or person that is engaged, directly or indirectly, in a Competitive Business.
Competing Entity means any entity which presently or during the period referred to above engages in any business activity the Company is then engaged in or proposes to be engaged in; and (ii) the term "Territory" shall mean any geographic area in which the Company conducts business during such period.
Competing Entity means any entity which is presently or hereafter principally engaged in any business of the type or character engaged in or proposed to be engaged in by the Company from time to time during Employee’s term of employment under this Agreement, including without limitation, any business engaged in the discovery and development of human therapeutic products for any of the same targets and for indications as products the Company had in development or was marketing at any time during Employee’s term of employment under this Agreement.

  • As long as I am employed by the Company for a period of twenty-four (24) months after the termination of my employment for any reason, voluntarily or involuntarily, I shall not, on behalf of any Competing Entity, solicit or negotiate with any person or entity which was a company customer or employee while I was employed by the Company.

Executive’s election to participate in any Competitive Activities during the Consideration Period shall not be deemed a breach of this Agreement; rather, in the event Executive delivers the Competition Notice (and thereafter engages in Competitive Activities prior to the expiration of the Consideration Period), then (x) Executive shall forfeit any Severance Payment, Pro Rated Bonus or Benefits Payment otherwise payable pursuant to Section 4.2 or 4.3 above, and (y) the Company shall have no obligation to make any Severance Payment or Pro Rated Bonus to Executive or any Benefits Payment under Section 4.2 or 4.3.
Competing Entity means any entity which presently or hereafter during the Non-Competition Term engages in any business activity in which the Company or its successor is engaged during the Non-Competition Term; and (iii) the term "Territory" shall mean any greater metropolitan area in which the Company is engaged in business while the Employee is employed by the Company or within six months of the Termination Date.
