Competing Entity definition

Competing Entity means any entity or person that is engaged, directly or indirectly, in a Competitive Business.

Competing Entity means any entity which presently or during the period referred to above engages in any business activity the Company is then engaged in or proposes to be engaged in; and (ii) the term "Territory" shall mean any geographic area in which the Company conducts business during such period.

Competing Entity means any entity which is presently or hereafter principally engaged in any business of the type or character engaged in or proposed to be engaged in by the Company from time to time during Employee’s term of employment under this Agreement, including without limitation, any business engaged in the discovery and development of human therapeutic products for any of the same targets and for indications as products the Company had in development or was marketing at any time during Employee’s term of employment under this Agreement.

Examples of Competing Entity in a sentence

• As long as I am employed by the Company for a period of twenty-four (24) months after the termination of my employment for any reason, voluntarily or involuntarily, I shall not, on behalf of any Competing Entity, solicit or negotiate with any person or entity which was a company customer or employee while I was employed by the Company.

• Notwithstanding anything contained herein to the contrary, the foregoing Restrictive Covenant shall not prohibit a Designated Insider from owning directly or indirectly capital stock or similar securities, which are listed on a securities exchange or quoted on the NASDAQ, which do not represent more than one percent (1%) of the outstanding capital stock of any Competing Entity.

• For purposes of this Agreement, Competing Entity includes: (1) any entity listed on Appendix A attached to this Agreement; (2) any entity which, in the future, shall plan, attempt or engage in any activities with the object, goal or purpose of competing with the Company or any of the entities listed on Appendix A.

• Pursuant to Section 10.1 of the Bylaws, any Medical Staff Officer, or any candidate for a position as an officer of the Medical Staff, who has an actual or potential Conflict of Interest Involving a Competing Entity or an actual or potential Conflict of Interest Involving Virtua Health System shall make a complete and accurate disclosure of the existence and nature of the relationship.

• For purposes of this Section 5.3, (i) the term "Competing Entity" shall mean any entity which presently or during the Restricted Period engages in any business activity in which the Company is then engaged; and (ii) the term "Territory" shall mean any geographic area in which the Company conducts business during such Restricted Period.

More Definitions of Competing Entity

Competing Entity means any business entity engaged in the development, design, manufacture, marketing, distribution or sale of molecular diagnostics.

Competing Entity means any business entity engaged in the development, design, manufacture, marketing, distribution or sale of molecular diagnostic products.

Competing Entity means any Person which presently or hereafter during the term hereof is materially engaged in the Business; and (ii) the term "Territory" shall mean the Caribbean and the area within a three hundred mile radius of (a) the terminal facility operated by an Affiliate of the Subsidiary at Point Xxxxxx, Nova Scotia, and (b) any terminal hereafter operated by the Subsidiary or any Affiliate of the Subsidiary.

Competing Entity shall have the meaning set forth in Section 10.1(a) hereof.

Competing Entity means any Person which presently or hereafter during the term hereof is materially engaged in the Business; provided, however, that "Competing Entity" shall not include Statia Terminals Cayman, Inc. or its subsidiaries or other affiliates owned, directly or indirectly, by Statia Terminals Cayman, Inc.

Competing Entity means any entity which presently or during the period referred to above engages in any business activity in which the Company or any of its Affiliates is then engaged; and (ii) the term “Territory” shall mean any geographic area in which the Company or any of its Affiliates conducts business during such period; provided, however, that, during the Consideration Period, the term “Territory” shall mean only Los Angeles County, California and New York County, New York. Notwithstanding the foregoing, in the event that Executive elects, during the Consideration Period, to either (a) compete with the Company, or (b) have an interest in, be employed by, be engaged in or participate in the ownership, management, operation or control of, or act in any advisory or other capacity for, any Competing Entity which conducts its business within the Territory (the foregoing subsections (a) and (b), collectively, the “Competitive Activities”), then, at least ten (10) business days prior to commencing any such Competitive Activities, Executive shall deliver to the Company a written notice (the “Competition Notice”) advising the Company of (i) Executive’s intent to commence Competitive Activities, and (ii) the commencement date for such Competitive Activities. Executive’s election to participate in any Competitive Activities during the Consideration Period shall not be deemed a breach of this Agreement; rather, in the event Executive delivers the Competition Notice (and thereafter engages in Competitive Activities prior to the expiration of the Consideration Period), then (x) Executive shall forfeit any Severance Payment, Pro Rated Bonus or Benefits Payment otherwise payable pursuant to Section 4.2 or 4.3 above, and (y) the Company shall have no obligation to make any Severance Payment or Pro Rated Bonus to Executive or any Benefits Payment under Section 4.2 or 4.3.

Competing Entity means any entity which presently or hereafter during the Non-Competition Term engages in any business activity in which the Company or its successor is engaged during the Non-Competition Term; and (iii) the term "Territory" shall mean any greater metropolitan area in which the Company is engaged in business while the Employee is employed by the Company or within six months of the Termination Date.
