Competing Product definition

Competing Product means any product, process, or service of any person or organization other than the Company, in existence or under development, (A) which is identical to, substantially the same as, or an adequate substitute for any product, process, or service of the Company, in existence or under development, on which I work during the time of my employment by the Company or about which I acquire Confidential Information, and (B) which is (or could reasonably be anticipated to be) marketed or distributed in such a manner and in such a geographic area as to actually compete with such product, process or services of the Company.

More Definitions of Competing Product

Competing Product means any product or service that is sold or provided in competition with a Supported Product.“Customer” means any person or company, including all related affiliates that purchased or received a product or service from the Company during the two years preceding my Separation.“Supported Product” means any product or service that, during the two years preceding my Separation, was designed, produced, marketed, sold, or supported by me, or by any individual or business unit that I managed, directed, supervised, or supported with other than clerical, menial, or manual labor, as well as any product or service about which I, as part of my duties for the Company, learned, created, or reviewed any Confidential Information or Trade Secret. “Territory” means a county within the United States of America, or a city, town, or other municipality in any foreign nation, in which Company sold or provided more than $500,000 (USD) in the aggregate worth of products or services in the two years preceding my Separation. 6.
Competing Product has the meaning set forth in Section 2.3.
Competing Product means any product (including, without limitation, any chemical formula or process) which is or may be marketed in competition with any product marketed or under development by the Company at any time, and (iii) "contact" means interaction between Employee and a customer or licensee, former customer or licensee, or prospective customer or licensee of the Company, which takes place to further any business relationship; or performing services for the customer or licensee, former customer or licensee, or prospective customer or licensee on behalf of the Company.
Competing Product has the meaning set forth in Section 8.7.
Competing Product means any: (i) application or software program that provides an electronic gateway to government services or procurement information; (ii) product, device or system that is substantially the same as, incorporates, is a material component or part of, or is based upon or competes with anything referred to in clause (i) above or any product, device or system that has been designed, developed, promoted, sold, resold, installed, supported, maintained, licensed or sublicensed by or on behalf of Persons who at any time on or prior to the date of this Agreement were competitors of the Company (or of any predecessor of the Company) at any time on or prior to this date of this Agreement until the date of termination of employment.
Competing Product means any pharmaceutical or other compound, composition, formulation, method, process, product or material that is competitive with any product of the Employer under development, manufacture, distribution or commercialization at any time from and after October 1, 2003 (the effective date of the Employee’s initial employment agreement with the Employer) through the date of termination of the Employee’s employment, including, without limitation, small molecules that target androgen, estrogen, glucocorticoid, and/or other hormone receptors for purposes of treating, diagnosing, or imaging humans in health and disease, including treating cancer, osteoporosis and bone loss and muscle loss.
Competing Product means any: (i) probe card, automatic test equipment interface assembly, automatic test equipment test board, socket, receptacle, adapter or similar product used in the semiconductor manufacturing industry; (ii) product, equipment, device or system that has been designed, developed, manufactured, assembled, promoted, sold, supplied, distributed, resold, installed, supported, maintained, repaired, refurbished, licensed, sublicensed, financed, leased or subleased by or on behalf of any of the Acquired Companies (or any predecessor of any of the Acquired Companies) at any time on or prior to this date of this Noncompetition Agreement; (iii) product, equipment, device or system that is designed, developed, manufactured, assembled, promoted, sold, supplied, distributed, resold, installed, supported, maintained, repaired, refurbished, licensed, sublicensed, financed, leased or subleased by or on behalf of the Purchaser, any of the Acquired Companies or any of the Purchaser's other subsidiaries at any time during the Noncompetition Period; or (iv) product, equipment, device or system that is substantially the same as, incorporates, is a material component or part of, is based upon, is functionally similar to or competes in any material respect with any product, equipment, device or system of the type referred to in clause "(i)", clause "(ii)" or clause "(iii)" of this sentence.
