User Compliance. Client is responsible for the compliance of those individuals allowed to access the CultureIQ Property or Services under this Agreement or Order. Client shall use commercially reasonable efforts to prevent unauthorized access to, or use of CultureIQ Property, and notify CultureIQ promptly of any such unauthorized access to or use of the Services, and comply with all applicable local, state, federal, and foreign laws in using the CultureIQ Property
User Compliance. You are solely responsible for training your Users and Administrators and monitoring their use of Kchecks™. You are solely responsible to ensure that Users and Administrators keep their usernames and passwords in a safe and secure place. Xxxxxx may post additional terms of use on the Website from time to time, and any violation by a User or Administrator of this Agreement or any additional terms of use shall be cause for suspension or termination of their access to Kchecks™.
User Compliance. Client shall (i) be solely responsible for the accuracy, quality, integrity and legality of data entered into the Software (“Data”) and of the means by which Data was acquired, (ii) use commercially reasonable efforts to prevent unauthorized access to or use of the Services, and notify Company promptly of any such unauthorized access or use, (iii) keep its User ID(s) and password(s) confidential, (iv) notify Company immediately upon learning of any unauthorized use of its User ID(s) or password(s)Client’s employ, (v) maintain commercially reasonable business practices in conjunction with use of the Services, and (vi) use the Services only in accordance with applicable use policies, laws and government regulations. Client shall not (a) make the Services available to anyone other than Client’s employees, (b) sell, resell, rent or lease the Services, (c) use the Services to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights, (d) use the Services to store or transmit Malicious Code, (e) interfere with or disrupt the integrity or performance of the Services or third-party data contained therein, or (f) attempt to gain unauthorized access to the Services or their related systems or networks. Client shall require that all Named Users will assume and abide by all of Client’s obligations under this Agreement.
User Compliance. You agree that You will cause Users (anyone who uses or accesses a Ser- vices provided by Astro to You under this Agreement) to comply with this Agreement, and You are re- sponsible for a User's use of the Services. Except where otherwise required by law, You are not permit- xxx to resell any one or more of the Services to third parties (excluding Your “Affiliates”(defined in Sec- tion 30)) without first obtaining written consent from Astro.
User Compliance. Customer shall ensure that all Users (for the avoidance of doubt, including Patient-Users) comply with the User Terms (for Patient-Users, to the extent that the User Terms are applicable to Patient-Users), this MSA and all applicable laws, and shall terminate or place restrictions on (or request 5 Health to terminate or place restrictions on) the access credentials of any User for the Services or Bot MD Interface who does not comply with the User Terms, this MSA or any applicable laws, or whose relationship with Customer terminates. As between Customer and 5 Health, Customer shall be responsible for Users’ acts or omissions in relation to the Services, or in violation of the terms of this MSA, as if they were Customer’s own acts or omissions. 5 Health shall not be liable for any breach of the obligation of confidence or breach of any applicable laws by any User, whether owing to Customer or other third parties, arising out of the User’s acts or omissions in relation to the Services. 5 Health may (but is not obligated to) at any time deny or suspend or restrict any User’s access to the Services without notice to Customer if 5 Health, in its sole discretion, believes that the User’s use of the Services is unauthorized or would violate or is likely to result in a violation of any provision of this MSA or the User Terms or any law, regulation, rule, requirement, advisory from any government body or authority or that such suspension is necessary to protect the integrity or security of the Bot MD Interfaces, other Users or other third parties. Although 5 Health has no obligation to monitor Customer’s or User’s use of the Bot MD Interfaces, 5 Health may do so and may prohibit any use on the foregoing grounds.
User Compliance. Customer is responsible for use of the Tray Service by its Users and for its Users’ compliance with this Agreement. Customer shall take reasonable steps to prevent unauthorised access to the Tray Service, including without limitation by protecting its passwords and other log-in information. Customer shall not provide passwords or other login information to any third party other than Users. Customer shall notify Tray promptly of any known or suspected unauthorised use of the Tray Service.
User Compliance. At all times relevant to its use of the Facility, User shall comply with all applicable federal, state and local laws and rules, including those issued by the Fire Department and Board of Health, and the rules and regulations of ISB.
User Compliance. Customer is responsible for its Users’ compliance with the terms of the Order and the Agreement.

User Compliance. Customer shall use commercially reasonable efforts to cause all Users to comply with this Agreement as it relates to Users obtaining access to and using the Software and Services through Customer’s priopriety user interface.
