Role of Buyer. Subject to the terms of this Agreement and for the Term, Buyer (at its sole cost and expense) shall, among other things: Receive and pay for Products and receive Test Energy beginning on the Commercial Operation Date on the terms and conditions set forth herein and pay the Monthly Interconnection Payment or Lump Sum Interconnection Payment and all other charges required of Buyer pursuant to this Agreement; In accordance with Prudent Utility Practices and acting in a commercially reasonable manner, provide (a) natural gas Fuel commodity that meets the standard for natural gas Fuel delivered into interstate natural gas pipelines, and (b) related natural gas Fuel management and natural gas Fuel transportation services for such natural gas Fuel commodity, all at Buyer’s expense, to the Natural Gas Delivery Point to enable Seller to provide Products [for Storage facility Projects, purchase, supply and deliver Charging Energy to the Project sufficient to meet Dispatch] Dispatch the Project; Bid Test Energy into NYISO Markets, as directed by Xxxxxx and in accordance with NYISO Rules; Cause the Connecting Transmission Owner to (a) enter into the Interconnection Agreement, and (b) construct the Connecting Transmission Owner’s Attachment Facilities, System Upgrade Facilities and System Deliverability Upgrades as set forth in Section 3.11; and Register the Project with the NYISO. FERC Agreement: Regulatory Review . Each Party agrees that, except with the prior written consent of the other Party, the Party or its Affiliates will not institute or voluntarily cooperate in the institution or conduct of any action or proceeding of the FERC under Section 205 or any other portion of the Federal Power Act, which action or proceeding is intended for the purpose of, or could reasonably be expected to have the effect of, changing the terms of this Agreement then in effect; provided, Seller shall have the right to file this Agreement with FERC and seek acceptance thereof in accordance with Section 205 of the Federal Power Act. Without limiting the foregoing, the Parties agree that the rates and terms and conditions for service specified herein shall remain in effect for the Term and shall not be subject to change through application to FERC pursuant to provisions of Section 205 of the Federal Power Act, absent written agreement of the Parties.
