Restaurant Commitment; Restaurant Operator. No later than the time specified in the Schedule of Performance, the Developer and the Restaurant Operator shall have negotiated the Restaurant Operator's binding letter of intent, binding request to lease, or other binding preliminary agreement for the operation of the Restaurant Development (the "Restaurant Commitment"), and shall have submitted the proposed Restaurant Commitment to the City. The City's review of the proposed Restaurant Commitment to be executed by the Developer and the Restaurant Operator shall be for the sole purposes of determining that: (i) the Restaurant Operator meets the criteria set forth herein; (ii) the Restaurant Improvements shall constitute a full-service restaurant in accordance with Section 6.11 and the Restaurant Use Agreement and shall be operated for a term of not less than five (5) years following the date of the issuance of the Certificate of Completion for the Restaurant Development; (iii) the term of the Restaurant Lease will be at least five (5) years and, except upon the City's prior written consent, such agreement may not be transferred by the Restaurant Operator during the first five (5) years of the Restaurant Lease; and (iv) the Restaurant Operator is a reputable operator of sit-down dining establishments in California reasonably acceptable to the City. The City shall have fifteen (15) days following the Developer's submittal of the proposed Restaurant Commitment to either approve or disapprove of the Restaurant Commitment, and, if not approved or disapproved within such fifteen (15) day period, the proposed Restaurant Commitment shall be deemed approved. The City shall approve the proposed Restaurant Commitment if it complies with this Agreement. If the City disapproves the submission, the City shall specify in writing the reasons for disapproval. Within fifteen (15) days following notice of disapproval from the City the Developer shall thereafter revise the proposed Restaurant Commitment so as to remove the reasons for disapproval and submit the revised proposed Restaurant Commitment to the City for approval. The City shall approve or disapprove the revised proposed Restaurant Commitment within fifteen (15) days following submission, and if not disapproved within that fifteen (15) day period, the revised proposed Restaurant Commitment shall be deemed approved.   • Current Operating Areas Where logging or road construction is in progress but not completed, unless agreed otherwise, Purchaser shall, before opera- tions cease annually, remove all temporary log culverts and construct temporary cross drains, drainage ditches, dips, berms, culverts, or other facilities needed to control erosion. Such protection shall be provided, prior to end of a Normal Operating Season, for all disturbed, unprotected ground that is not to be disturbed further prior to end of operations each year, including roads and associated fills, tractor roads, skid trails, and fire lines. When weather permits operations after Normal Operating Season, Pur- chaser shall keep such work on any additional disturbed areas as up to date as practicable.

  • Parking Facilities Alamo Colleges District shall make the existing parking facilities at the rented Facility available for the vehicular traffic and parking necessitated by the Organization’s Use of the rented Facility, on a non-exclusive basis, as specified at Exhibit A. MAXIMUM CAPACITY. Organization anticipates approximately the number of participants stated at Exhibit A and agrees to inform Alamo Colleges District of any significant changes five (5) business days in advance of a Use. Organization shall not admit a larger number of persons than can safely and freely move about the Facility. Alamo Colleges District shall notify Organization of the recommended capacity of the Facility and all decisions of Alamo Colleges District concerning questions arising under this Paragraph shall be final.

  • Alternate Work Sites Employees may be assigned or authorized to report to work at an alternative work site(s) and be paid for the time worked.

  • Participating TO’s Interconnection Facilities The Participating TO shall design, procure, construct, install, own and/or control the Participating TO’s Interconnection Facilities described in Appendix A at the sole expense of the Interconnection Customer. Unless the Participating TO elects to fund the capital for the Participating TO’s Interconnection Facilities, they shall be solely funded by the Interconnection Customer.

  • Franchise Area The incorporated area (entire existing territorial limits) of the LFA, and such additional areas as may be annexed or acquired.

  • Operator The Optionee shall be the operator for purposes of developing and executing exploration programs.

  • EDUCATIONAL IMPROVEMENT A leave of absence without pay of up to one (1) contract year may be granted to any employee, upon application, for the purpose of engaging in study at an accredited college or university reasonably related to professional responsibilities.

  • Generating Facility The Interconnection Customer’s device for the production of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities.

  • Participating TO's Interconnection Facilities Construction The Participating TO's Interconnection Facilities shall be designed and constructed in accordance with Good Utility Practice. Upon request, within one hundred twenty (120) Calendar Days after the Commercial Operation Date, unless the Participating TO and Interconnection Customer agree on another mutually acceptable deadline, the Participating TO shall deliver to the Interconnection Customer and the CAISO the following “as-built” drawings, information and documents for the Participating TO's Interconnection Facilities [include appropriate drawings and relay diagrams]. The Participating TO will obtain control for operating and maintenance purposes of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades upon completion of such facilities. Pursuant to Article 5.2, the CAISO will obtain Operational Control of the Stand Alone Network Upgrades prior to the Commercial Operation Date.

  • PROFESSIONAL IMPROVEMENT A. The parties’ support the principle of continuing training of teachers, participation by teachers in professional organizations in the areas of their specialization, leaves for work on advanced degrees or special studies, foreign travel and participation in community educational projects.
