Relationship with End Users. Except as set forth in Section 2.3, there are no third party beneficiaries to this Agreement. Consequently, Licensor provides no warranty at all to any person, other than the limited warranty provided to Licensee the original purchaser of the Product, as set forth herein, and Licensee will be solely responsible to Licensee’s End Users (or anyone else who uses or acquires Works) for support, service, upgrades, or technical or other assistance (including with respect to any Redistributables included therein), and such persons will have no right to contact Licensor for any services or assistance. Licensee will indemnify, defend and hold Licensor, its licensors, its suppliers and each of their respective employees, officers, directors and affiliates, harmless from and against any claims or liabilities arising out of or related to the use, procurement, reproduction or distribution of Licensee’s Works by third parties.
Relationship with End Users. There are no third-party beneficiaries to this License Agreement. Consequently, Rogue Wave provides no warranty at all to any person, other than the limited warranty provided to Licensee hereunder. Licensee will be solely responsible for the development of the Applications authorized by this License Agreement and for providing all support or services required or requested by end users of the Applications. Licensee will not make any representations or warranties to its employees, customers, end users or any other third party on Rogue Wave’s behalf. Rogue Wave assumes no responsibility under this License Agreement, either directly or indirectly, for damages to Licensee or third parties resulting from the direct or indirect use of the Applications created by or on behalf of Licensee.
Relationship with End Users. 7.1 The Customer is responsible for the acts and omissions of all End Users in connection with the Service and is liable for any failure by any End User to perform or observe the terms and conditions of this Agreement, including any instructions issued under clause 4.5(d).
Relationship with End Users. (a) Enterprise Partner will immediately notify Company if Enterprise Partner becomes aware of any breach by End User or Authorized User.

Licensee hereby agrees to indemnify and hold harmless Rogue Wave from and against all claims, actions, or demands arising with respect to Applications developed and/or distributed by Licensee, with the sole exception of those matters for which Rogue Wave bears responsibility under Section 7 of this License Agreement. The foregoing indemnity shall be contingent upon Rogue Wave: (a) giving written notice to the Licensee of any claim, demand, or action for which indemnity is sought; (b) fully cooperating in the defense or settlement of any such claim, demand, or action; and (c) obtaining the prior written agreement of the Licensee to any settlement or proposal of settlement.

Relationship with End Users. 11. Term; Termination.
Relationship with End Users. Developer is solely responsible for all aspects of its relationship with end users of Developer Applications. Developer will provide reasonable technical support to end users of Developer Applications and shall not refer any end user to AMEX for support. AMEX and its Affiliates have no obligations or liability to end users related to the Developer Applications or the AMEX Materials.
Relationship with End Users. 8.1 Where the CUSTOMER is not the End User, CUSTOMER shall be the exclusive CUSTOMER of record for all of the Services and shall be responsible for all obligations associated with the taking of Service hereunder, including without limitation, all payment obligations. INTELLETRACE shall have no obligation to deal directly with any End User of CUSTOMER for any purpose relating to the Services, including but not limited to sales, ordering, billing, maintenance, or repair. CUSTOMER is solely responsible for all products and services it provides to its End Users, for collecting amount owed to CUSTOMER by End Users and CUSTOMER’s inability to obtain such payment(s) shall not excuse CUSTOMER from any obligation to INTELLETRACE hereunder.
