THE CHARGES. 5.1. The Customer shall pay the Charges by Direct Debit for: (a) each Service (whether or not the Service is used by the Customer); (b) where applicable, the Mobile Equipment and/or Hard- ware; and (c) any other products or services agreed between the par- ties from time to time, in accordance with this clause 5. Where the Customer does not pay the Charges by Direct Debit then Company may add a surcharge for any pay- ment by Credit Card. 5.2. The Customer acknowledges that the Charges have been agreed on the basis that they will be paid by Direct Debit. Where the Customer fails to set up any such Direct Debit then Company may add to its Charges a monthly amount for its administration expenses. 5.3. The Charges are as set out in the Commercial Schedule, or: (a) as detailed in the Company Price List at the time the Mobile Equipment, Hardware, Service or other agreed product or service was supplied; or (b) as notified to the Customer by Company in writing. 5.4. Where relevant Charges shall be based upon call and billing data recorded by or on behalf of Company. 5.5. The Charges are exclusive of value added tax which will be charged at the prevailing rate. 5.6. Unless otherwise stated in the Commercial Schedule or the Company Price List: Full Terms and Conditions (a) call prices are quoted by the minute; (b) the duration of each call shall be measured in whole seconds, any part thereof will be rounded up to the next whole second; (c) each call shall be charged excluding VAT, based on the duration, the ex VAT cost of each call is then calculated and the result rounded up to the nearest xxxxx. VAT is then added where applicable to the total of all charges on the Customer’s invoice; (d) peak rate call Charges apply from 07:00 to 19:00, Monday to Friday; (e) weekend rate call Charges apply from midnight on Friday to midnight on Sunday;

THE CHARGES. 5.1 The Charges for Services and/or Equipment detailed in the Commercial Schedule(s) are available subject to the Customer fulfilling all of its commitments as set out in this Agreement, including but not limited to: a) paying the Charges in accordance with this Agreement; and b) achieving any applicable Minimum Spend, Minimum Holding and/or Minimum Period. 5.2 The Customer shall pay the Charges for: a) each Service provided by O2 (whether or not the Service is used by the Customer); b) where applicable, the Equipment; and c) any other products or services agreed between the parties from time to time, in accordance with this clause 5. 5.3 Most Charges are set out in the Commercial Schedule(s). Where a Charge is not set out in the Commercial Schedule, the Charge shall be: a) as set out on the O2 Website at the time the Equipment, Service or other agreed product or service was supplied; or b) as notified to the Customer by O2 (including in a Service Schedule or SBD). 5.4 Usage based Charges shall be based upon data recorded by or on behalf of O2. 5.5 The Charges are exclusive of value added tax which will be charged at the prevailing rate. 5.6 O2 will increase or decrease Rental Charges each year by the RPI Rate (an “RPI Change”). O2 will publish the relevant RPI Rate on the O2 Website as soon as it becomes available

THE CHARGES. Details of the charges payable by you are set out in section 3.8 of this agreement. The Charges are payable in advance of your stay and prior to your admission to the Home.

Where a Charge is not set out in the Commercial Schedule, the Charge shall be: a) as set out on the Company Website at the time the Equipment, Service or other agreed product or service was supplied; or b) as notified to the Customer by Company (including in a Service Schedule or quotation). 5.4 Usage based Charges shall be based upon data recorded by or on behalf of Company. The Customer accepts that the call tariffs set out in the Company price lists and tariffs are set by the Company by reference to the telecommunications tariffs of third parties which the Company pays to provide the Services to the Customer (insofar as the applicable Services are being provided to the Customer by the Company). Those third-party tariffs are not controlled by the Company and are subject to increase or decrease at any time. Due to the nature of these circumstances the Company may increase or decrease its call tariff changes as set out on the price list and the Customer shall pay such increased or decreased rate in the charges. 5.5 The Charges are exclusive of value added tax which will be charged at the prevailing rate. 5.6 On 1st January each year the Company may increase or decrease Charges by the CPI Rate (an “CPI Change”). Company will notify the Customer or publish the relevant CPI Rate on the Company Website as soon as it becomes available. 5.7 The Charges will include visits and/or support being made to the Customer Site where specified in a Transaction Document and where additional visits and/or support over and above this stated number or where remote visits or support longer than 30 minutes are required the Company shall be entitled to make a reasonable charge for such additional visits. 5.8 All prices are subject to the survey...

If the February RPI Rate is equal to or less than zero your Rental Charges will be increased by 3.9%; and (b) if you are on a Business Tariff, your Rental Charges will be increased by the RPI Rate. If the February RPI Rate is equal to or less than zero your Rental Charges will stay the same. 5.8 The RPI Rate is announced in February and your Rental Charges will take effect in your April bill. O2 will publish the relevant RPI Rate on the O2 Website as soon as it becomes available.

Where a Charge is not set out in the Commercial Schedule, the Charge shall be: (a) as set out in the MIDSHIRE Price List at the time the Mobile Equipment, fixed hardware, Service or other agreed product or service was supplied; or (b) As notified to the Customer by MIDSHIRE. 5.3 All Charges shall be based upon call and billing data recorded by or on behalf of MIDSHIRE where applicable. 5.4 The Charges are exclusive of value added tax which will be charged at the prevailing rate. 5.5 Unless otherwise stated in the Commercial Schedule or the MIDSHIRE Price List, the following apply to UK domestic calls: (a) Call prices are quoted by the minute; (b) The duration of each call shall be measured in whole seconds, any part thereof will be rounded up to the next whole second; (c) Each call shall be charged excluding VAT, based on the duration, the ex VAT cost of each call is then calculated and the result rounded up to the nearest xxxxx. VAT is then added where applicable to the total of all charges on the Customer’s invoice; (d) Peak rate call Charges for Mobile Voice Services apply from 07:00 to 19:00, Monday to Friday; (e) Peak rate call Charges for Fixed ServicesCalls Service apply from 08:00 to 18:00, Monday to Friday; (f) Weekend rate call Charges apply from midnight on Friday to midnight on Sunday; (g) off peak rate call Charges apply at all times when peak rate or weekend rate call Charges do not apply; and (h) All calls are subject to a minimum Charge. 5.6 Full details of international and roaming call Charges (including rounding policies) are available on request from xxxxxxx@xxxxxxxxxxxxxxx.xx.xx
