Purchase and Sale of Output. The District shall sell and deliver, or cause to be delivered, and Purchaser shall purchase and receive, or cause to be received, Purchaser’s Output Percentage at the Points of Delivery, as defined in Section 7, and Purchaser shall pay the District the Purchase Price. The District shall be responsible for costs associated with the generation of the Purchaser’s Output Percentage. The District shall also only be responsible for direct costs associated with the transmission and losses of the Purchaser’s Output Percentage to the Points of Delivery. Purchaser shall be responsible for any costs or charges imposed on or associated with the transmission of the Purchaser’s Output Percentage from the Points of Delivery.

Purchase and Sale of Output. Beginning on the Actual Commercial Operation Date and continuing throughout the Term, Seller shall sell and deliver at the Delivery Point, and Purchaser shall purchase and accept from Seller at the Delivery Point, all of the Output generated by the System; provided, however, in no event shall Purchaser be required to purchase Output in excess of the lesser of (i) the amount allowable under the PPA Pilot Program Requirements, or (ii) the amount specified on Schedule 6 (Annual Contract Quantity) per Billing Year (as adjusted pro rata for any partial Billing Year). Any Output not immediately usable by Purchaser shall be exported to the Utility pursuant to interconnection and/or net metering agreements. Title to and risk of loss for the Output generated by the System passes to Purchaser from Seller at the Delivery Point. Seller warrants that it will deliver all Output and all of the associated Environmental Attributes to Purchaser free and clear of all Liens created by any Person other than Purchaser.

Each Party agrees that, during the Term, it will not seek to change any of the rates or terms of this Agreement by making a filing or application with any local, state or federal agency with jurisdiction over such rates or terms or exercise any rights a Party may have, if any, to seek changes to such rates or terms.

Purchase and Sale of Output. During the Delivery Term, Seller shall sell and deliver, or cause to be delivered, and Buyer shall purchase and receive, or cause to be received, the Output (subject to Section 2.4(a)) at the Point of Interconnection, and Buyer shall pay Seller the Price in accordance with the terms of this Agreement, unless specifically excused by the terms of this Agreement. In no event shall Seller have the right to procure any element of the Output from sources other than the Plant for sale or delivery to Buyer under this Agreement, or sell Output from the Plant to a third party. Buyer shall be the only party that may claim credit for the Output (subject to Section 2.4(a)), as may be available to Buyer from time to time. Buyer shall have no obligation to receive or purchase Output from Seller prior to or after the Delivery Term, except for Test Energy. Seller shall be responsible for any costs or charges associated with the Output or its delivery of the Output up to the Point of Interconnection. Buyer shall be responsible for any costs or charges imposed on or associated with the Output after its receipt at and from the Point of Interconnection.
