The Royalty, if then payable in the circumstances, shall be applicable until the earlier of: (a) April 1, 2024, if the Term of this Agreement then ends; (b) the Early Termination Date; (c) 36 months from October 1, 2021; and (d) the date upon which ▇▇▇▇▇ has received a total of [*****] (the “Cap”) in Royalty payments.
The Corporation may terminate this Agreement at any time by paying to each TRA Holder the Early Termination Payment due to such TRA Holder pursuant to Section 4.5; provided, however, that this Agreement shall only terminate upon the receipt of the applicable Early Termination Payment by each TRA Holder (such termination, an “Early Termination”) and payments described in the immediately succeeding sentence, if any.
In addition, the Corporation shall allow the Agent and each Self-Represented TRA Holder reasonable access (that does not interfere with the ongoing operations of the business of the Corporation) to the appropriate representatives of the Corporation in connection with a review of such Early Termination Schedule and (c) a Corporation Letter supporting such Early Termination Schedule.
Upon the end of this Agreement, whether by Early Termination or expiration of the Agreement’s Term, and payment of all the Commissions and Additional Equity Considerations earned by Connection Holdings through such date have been satisfied, Connection Holdings shall have no further rights against Turbo in connection with the terms of this Agreement.
In determining the number of Shares (or Alternative Delivery Units) required to be delivered under this provision, the Calculation Agent may take into account a number of factors, including, without limitation, the market price of the Shares (or Alternative Delivery Units) on the Early Termination Date or the date of early cancellation or termination, as the case may be.
