Obligations of School District. Xxxxxx Central School District agrees to meet the terms of all reasonable requests of the Contractor necessary to the performance of Contractor's duties under this Agreement. Releases of information should be signed by the school district and Xx. XxXxxxxxxxx so that the independent functional behavior assessment can be sufficiently performed. Confidentiality/Privacy Contractor agrees that all information obtained in connection with the services provided for in this Agreement is deemed confidential information. Contractor, its employees, and/or agents shall not use, publish, discuss, disclose or communicate the contents of such information, directly or indirectly with third parties, except as provided for in this Agreement. Contractor further agrees that any information received by the Contractor during the course of the services provided pursuant to this Agreement which concerns the personal, financial, or other affairs of the District, its employees, agents, clients, and/or students will be treated by the Contractor, its employees, and/or agents in full confidence and will not be revealed to any other persons, firms, or organizations. In the event of a breach of the within confidentiality/privacy provision, the Contractor shall immediately notify the District and advise it as to the nature of the breach and the steps Contractor has taken to minimize said breach. The Contractor shall indemnify and hold the District harmless from any claims arising from its breach of the within confidentiality provision. The Contractor agrees to abide by all provisions of Education Law Section 2-d with respect to protection of student data. The parties further agree that the terms and conditions set forth herein shall survive the expiration and/or termination of this Agreement.
Obligations of School District. School District agrees: To be responsible for general facility management during the course of a temporary shelter event; and To use its best efforts to accommodate Entity’s evacuating students and staff, including making space available at a designated facility.

School District shall not cause or permit any Hazardous Material (as defined below) to be brought upon, kept or used in or about the Athletic Fields other than materials commonly used in the renovation, construction, operation and maintenance of the Athletic Fields and the Improvements provided such materials are used, stored and disposed of in compliance with all Applicable Laws. If School District breaches the covenant set forth in the preceding sentence, then School District shall indemnify, defend, protect and hold Licensee harmless from and against all claims, demands, liabilities, losses, damages, fines, penalties, remediation orders, costs or expenses (including attorney’s fees) incurred by or brought against Licensee as a result of such breach by School District. This indemnification of Licensee by School District includes, without limitation, costs incurred in connection with any investigation of site conditions or any cleanup, remedial, removal or restoration work required by any federal, state or local governmental agency or political subdivision because of the breach by School District of the terms and provisions of this Section

Obligations of School District. A. Shall provide classroom space, as agreed upon by the College and the District, to establish a distance education classroom. The space shall be made available and staffed in accordance with the College calendar and without regard to District holidays, days off, and early-release days.
