Nonsolicitation of Seller's Employees. In consideration of, among matters, the willingness of Seller to provide Purchaser with the opportunity to interview and hire any of the Branch Related Employees, Purchaser agrees that, except in accordance with Section 11.6, for a period of one year following the Closing Date, neither Purchaser nor any of its Affiliates shall on behalf of itself and each of its Affiliates, directly or indirectly, solicit for employment, solicit as an independent contractor or consultant, induce to terminate employment with Seller or otherwise interfere with Seller's employment relationship with, any Branch Employee or Branch Related Employee, who is not employed by Purchaser pursuant to Section 11.6, or any other employee or officer of Seller, Fleet, Shawmut or any of their respective Affiliates, whose responsibilities or duties relate to banking or other businesses of Seller, Fleet, Shawmut or any of their respective Affiliates within the state (or states) in which the Branches are located. It is expressly acknowledged by the parties hereto that Purchaser may employ or retain as an independent contractor or consultant any such Branch Employee, Transferred Employee or other employee or officer who shall terminate his or her employment with Seller, Fleet, Shawmut or any of their respective Affiliates without any such direct or indirect solicitation by Purchaser or who shall be terminated by Seller, Fleet, Shawmut or any of their respective Affiliates; provided that such employment or retention shall not be prohibited by any agreement between such Branch Employee, Transferred Employee or other employee or officer and Seller, Fleet, Shawmut or any of their respective Affiliates.

Nonsolicitation of Seller's Employees. (a) In consideration of, among other things, the willingness of Sellers to provide Purchaser with the opportunity to interview and hire the Business Related Employees, Purchaser and its Affiliates agree that, except in accordance with this Section 8.4, for a period beginning on the First Closing Date and ending on the second (2nd) anniversary of the Third Closing Date, they shall not, directly or indirectly, solicit for employment, retain as an independent contractor or consultant, induce to terminate employment with Sellers or otherwise interfere with Sellers' employment relationship with, any employee or officer of Sellers or any of their respective Affiliates who is not employed by Purchaser pursuant to Section 8.6; provided, however, that this Section 8.4 shall not apply (i) if any such employee has been terminated by Sellers or any of their Affiliates for any reason, (ii) if such employee is hired by Purchaser or any of its Affiliates as a result of a general solicitation for employment in newspaper advertisements or other periodicals of general circulation not specifically targeted to employees of Sellers, or (iii) if Fleet indicates by written consent that it shall not apply to any employee.
Nonsolicitation of Seller's Employees. Purchaser covenants and agrees that for a period of 2 years following the Closing Date it shall not, and shall cause its Subsidiaries not to, solicit, directly or indirectly, any employee of Seller or any of its Subsidiaries (at a time when such person is an employee of Seller or any of its Subsidiaries) to terminate his or her employment relationship with Seller or any of its Subsidiaries; provided, however, that nothing herein shall ----------------- prohibit Purchaser or any of its Subsidiaries from (i) generalized solicitations of potential employees by use of advertisements in the media that are not targeted at the employees of Seller or any of its Subsidiaries, (ii) incidental solicitations by search firms that have not been encouraged or requested to solicit employees of Seller or any of its Subsidiaries or (iii) hiring individuals not solicited in contravention of this Section 13.3.

It is expressly acknowledged by the parties hereto that Purchaser may employ as an employee or retain as an independent contractor or consultant any such Employee or other such employee who shall terminate his or her employment with Seller, without any such direct or indirect inducement or interference by, or other pre-termination contact with, Purchaser or who shall be terminated by Seller, in either case after the Closing Date; provided that such employment or retention shall not be prohibited by any then-existing agreement between such employee and the Seller.

Nonsolicitation of Seller's Employees. Seller makes a considerable investment in its employees, and Customer agrees not to directly or indirectly hire or employ any of Seller’s employees who provide Services to Buyer during the term of this Agreement and for a period of one (1) year thereafter. It is further agreed that any breach of this agreement will cause immediate and irreparable injury to Seller. In the event of such breach, Xxxxx agrees that Seller shall have the right to, in addition to other remedies available to it in law or equity, including an injunction, to be paid by Buyer, as liquidated damages, an amount equal to the total compensation paid by Seller to the affected Seller employee over the preceding twelve (12) months, or the total compensation to be paid by Buyer to the affected employee during their first twelve (12) months of employment with Buyer, whichever is greater.

Persons offered employment with Purchaser will be offered employment at their current work location with compensation and benefits comparable to those provided to Purchaser's current employees performing similar tasks, or, if none, with compensation and benefits comparable to those provided by Seller Such offers shall be made prior to Closing, but shall be contingent upon the occurrence of Closing and such employment shall not commence until Closing. If any such Person employed by Purchaser is terminated by Purchaser within six (6) months of Closing, Purchaser shall pay such Person a severance benefit equal to the amount determined by multiplying each such employee's normal weekly wage by ten (10). Purchaser shall have no obligation under this Section 13.19 with respect to Persons offered employment by Purchaser pursuant to this Section 13.19 who decline such employment, except that the foregoing provisions shall apply to the extent that such Person accepts employment with Purchaser or any of its Affiliates within twelve (12) months of Closing.
