Non-Competition; Non-Interference; Non-Solicitation. (a) During the Term and for a period of twelve months thereafter (the "Restricted Period"), Employee shall not, without the written consent of the Company, directly or indirectly, (i) become associated with, render services to, invest in, represent, advise or otherwise participate in as an officer, employee, director, stockholder, partner, member, promoter, agent of, consultant for or otherwise, any business, wherever conducted, which is directly competitive with the business conducted by the Company; or (ii) for Employee’s own account or for the account of any other person or entity (A) interfere with the Company’s relationship with any of its suppliers, customers, accounts, brokers, representatives or agents or (B) solicit or transact any business with any customer, account or supplier of the Company who or which transacts or has transacted business with the Company at any time during the Term; or (iii) employ or otherwise engage, or solicit, entice or induce on behalf of Employee or any other person or entity, the services, retention or employment of any person who has been an employee, principal, partner, stockholder, sales representative, trainee, consultant to or agent of the Company within one year of the date of such offer or solicitation. Notwithstanding any provisions in this Section 7, (1) this Section 7 shall not prohibit Employee from purchasing or owning up to five percent (5%) of the outstanding capital stock of a company which is listed or authorized for trading on any national securities exchange, Nasdaq or the over-the-counter markets or has a class of securities registered under Section 12 of the Securities Act of 1934, as amended and (2) to the extent not inconsistent with Employee’s obligations under this Agreement, Employee may engage in charitable or civic activities and make passive investments in businesses which are not competitive with the business of the Company.

Non-Competition; Non-Interference; Non-Solicitation. The Executive agrees that for the period commencing on the date hereof and ending two (2) years after the termination or cessation of his employment by the Company for any reason, the Executive shall not, (i) directly or indirectly engage, whether such engagement shall be as an officer, director, partner, shareholder, affiliate or other participant, in any business that competes with the Subject Business (a "Competitive Business") or represent in any way any Competitive Business, whether such engagement or representation shall be for profit or not (provided, that nothing contained herein shall prevent the Executive from holding up to 1% of the outstanding voting capital stock of any publicly traded company), (ii) interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between the Company and any third party, including, without limitation, any licensee, licensor, customer, supplier, consultant or employee of the Company or any direct or indirect subsidiary of the Company, (iii) affirmatively assist or induce others to engage in any Competitive Business in any manner described in the foregoing clause (i) and (ii), or (iv) solicit or attempt to solicit for any business endeavor any employee of the Company. As used herein, the term "Subject Business" means and includes any business located anywhere in the United States of America that provides electrical contracting, engineering and/or cable laying or maintenance services.

Non-Competition; Non-Interference; Non-Solicitation. (a) During the Non-Compete Period, Seller and Seller’s affiliates will not, directly or indirectly, engage as a principal, agent, partner, stockholder (other than as passive investor owning less than two percent (2%) of a publicly-traded company), member, consultant, lender or in any other capacity, in a business, directly or indirectly, that would be competitive with the Business or Purchaser’s business. During the Non-Compete Period, none of Seller or Seller’s affiliates will (i) solicit (or assist or encourage the solicitation of) any of the current employees, consultants, agents, or distributors of Purchaser, Seller or their respective affiliates; (ii) influence or attempt to influence any supplier, customer or potential customer of Purchaser or the Business to terminate or modify any written or oral agreement or course of dealing with Purchaser or the Business, or (iii) actively solicit to employ or retain, or arrange to have any other person or entity employ or retain, any person who is (on the date hereof) or is in the future be employed or retained by Purchaser or the Business as an employee, or in a similar such capacity.
Non-Competition; Non-Interference; Non-Solicitation. Employee agrees that during his employment and for a period of two (2) years after Employee’s termination from employment with the Company regardless of the reason (the “Restricted Period”), Employee will not, directly or indirectly, by or for himself or through others work for, promote, manage, operate, control, participate in, render advice to, own, or have any right to or interest in any other business operating within a one hundred (100) mile radius of the Company located in Union City, Indiana (the “Territory”) whose business is similar to, or is in competition with the Business of Cardinal Ethanol. Employee further agrees that, during the Restricted Period, Employee will not, directly or indirectly, by or for himself or any other person or entity, (i) call upon, solicit, divert, take away or accept business from any of the customers or suppliers of the Company in connection with any business operating within the Territory whose business is similar to, or is in competition with the Business of Cardinal Ethanol; or (ii) solicit for employment, retain or employ any present employee of the Company, or request, induce or advise any employee to leave the employ of or cease affiliation with the Company in connection with any business operating within the Territory whose business is similar to, or is in competition with the Business of Cardinal Ethanol. In addition, Employee agrees that he will not at any time, directly or indirectly, by or for himself or any other person or entity, interfere with the business relationships of or disparage the good name or reputation of the Company.
