Passive investor means a person that:

For the avoidance of any doubt, in the event a Person ceases to be a Passive Investor, the Person will be an “Acquiring Person” if the Person, together with its Affiliates and Associates, Beneficial Ownership exceeds the threshold set forth in Section 1.1 above regardless of whether the Person acquired Common Shares while the Person was a Passive Investor.
