Actively Solicit definition

Actively Solicit shall have the meaning set forth in Section 26.8.
Actively Solicit means to initially call or to initiate contact in any other manner with an employee of the other Party for the purpose of inducing such employee to leave his or her present position, but such term shall not include as wrongful any contact with, interview or hiring of those employees who (a) have answered standard advertisements, (b) have already resigned their positions without inducement by the other Party, or (c) initiate the contact with the other Party regarding employment with that party.
Actively Solicit shall not mean or include the placement of advertisements, participation in career days or responding to unsolicited inquiries, applications or resumes. Notwithstanding the foregoing, Seller hereby consents to Purchaser soliciting the employees listed on Schedule 10.6 hereto.

More Definitions of Actively Solicit

Actively Solicit means to engage in recruitment activity (a) by a Flextronics Company which specifically targets any employees of any Nortel Company (“Nortel Company Personnel”) for the purpose of recruiting such Nortel Company Personnel for Engagement (as defined in the second paragraph of this Section 26.8); or (b) by a Nortel Company which specifically targets any employees of any Flextronics Company (“Flextronics Company Personnel”) for the purpose of recruiting any Flextronics Company Personnel for Engagement. Notwithstanding the foregoing, “Actively Solicit” shall not include generalized employment searches, by advertisements, engaging firms to conduct searches or otherwise, as long as such searches are not focused on Nortel Company Personnel or Flextronics Company Personnel. “Engagement” means engagement to supply services, whether as an employee, independent contractor, consultant, or otherwise. During the Amended Term and for twelve (12) months thereafter: (a) Flextronics, and each Flextronics Company, shall not directly or indirectly Actively Solicit or hire Nortel Company Personnel for Engagement with a Flextronics Company or its Subsidiaries or affiliates, or with customers of any Flextronics Company or those of their respective Subsidiaries or affiliates; and (b) Nortel Networks, and each Nortel Company, shall not directly or indirectly Actively Solicit or hire Flextronics Company Personnel for Engagement with Nortel Networks for Engagement with such Nortel Company or its Subsidiaries or affiliates, or with customers of any Nortel Company or those of their respective Subsidiaries or affiliates, provided that this paragraph shall not apply to Transferring Employees in respect of which Nortel Networks is subject to non-solicitation provisions under the Asset Purchase Agreement which shall have precedence with respect to such Transferring Employees. In no event shall the foregoing be construed to prevent Flextronics from hiring Nortel Company Personnel if such hiring is not a result of Flextronics’s efforts to Actively Solicit.
Actively Solicit means taking affirmative steps to recruit Tenants from the Property, or forcing any Tenants at the Property pursuant to the terms of such Tenant’s Lease, to relocate to any property on the Development Parcel, including, without limitation, by threatening to declare or waiving a default under such Tenant’s Lease, offering moving allowances, rent abatements or other incentives not being offered generally to non-residents of the Property, but shall not include unsolicited inquiries made by any Tenant of the Property (including, without limitation, requests for sizes or types of units not then available on the Property but available at the Development Parcel), or general advertising or marketing for the Development Parcel not specifically targeted to existing Tenants. Upon Lender’s request, Borrower shall promptly provide Lender with a list of all former Tenants at the Property who have relocated to the Development Parcel, which list shall include a summary of the terms of such Tenant’s new lease at the Development Parcel.

  • Competitive solicitation means a formal, advertised procurement process, other than an Invitation to Bid, Request for Proposals, or Invitation to Negotiate, approved by the Board to purchase commodities and/or services which affords vendors fair treatment in the competition for award of a District purchase contract.

Solicit does not include: (i) making a contribution that is otherwise permitted by Chapter 155 of the Connecticut General Statutes; (ii) informing any person of a position taken by a candidate for public office or a public official, (iii) notifying the person of any activities of, or contact information for, any candidate for public office; or (iv) serving as a member in any party committee or as an officer of such committee that is not otherwise prohibited in this section.

  • Non-Solicitation Period means a period of 12 months after the termination of Executive’s employment with the Company.
