Leasehold Improvements Allowance. (a) In consideration of Lessee’s exercise of its Second Option, upon execution of this Second Amendment, Lessor shall provide Lessee a leasehold improvements allowance (the “Leasehold Improvements Allowance”) in the amount of Fifteen Million Nine Hundred Sixty-Five Thousand Eight Hundred Sixty-Five Dollars ($15,965,865) ($45.00 per rentable square foot) to be used for the costs of relocating from other facilities to the Premises on or after June 24, 2009, constructing Lessee’s desired improvements and alterations within the Premises after the Effective Date (“Leasehold Improvements”), consulting and permit fees and other costs incurred by Lessee in connection with the Leasehold Improvements on or after June 24, 2009 (collectively, the “Leasehold Improvement Costs”). The Leasehold Improvements Allowance shall be made available to Lessee immediately following the execution of this Amendment and shall be disbursed in accordance with this Paragraph 15. The Leasehold Improvement Allowance shall be net of any costs and expenses incurred by Lessor either on its own behalf or on behalf of Lessee in connection with any alterations or renovations required by this Second Amendment, provided that Lessee shall reimburse Lessor for the actual third party out-of-pocket costs and expenses reasonably incurred by Lessor with respect to any consultants retained by Lessor in connection with Lessee’s performance of the Leasehold Improvements. Without limiting the generality of the foregoing, Lessee shall not be obligated to reimburse Lessor for Lessor’s administrative, management or supervision costs in connection with Lessee’s installation of the Leasehold Improvements, nor shall any such administrative, management or supervision costs be deducted from the Leasehold Improvements Allowance.

Leasehold Improvements Allowance. The Leasehold Improvements Allowance set forth in Exhibit A and Exhibit E of the Lease, and any other reference thereto in the Lease is hereby supplemented by the addition of the amount of Fifteen and 00/100 Dollars ($15.00) per rentable square foot of the Fifth Floor Expansion Area (the “Supplemental Leasehold Improvements Allowance”). The Supplemental Leasehold Improvements Allowance shall be due and payable to Tenant in periodic disbursements pursuant to Tenant’s requisitions, but not more than once monthly, and upon receipt by Landlord of appropriate documentation evidencing the completion of work associated with each such requisition, and otherwise in accordance with the provisions of Exhibit E. The Supplemental Leasehold Improvements Allowance will be applied by Tenant toward costs of design, preparation, renovation and construction of Tenant’s Work within the Fifth Floor Expansion Area, and may also be applied toward non-building related costs including, but not limited to, permitting, space plans, moving, architectural and engineering fees, project management, wiring and cabling, special electrical power distribution, telephone and security systems, and the purchase of furniture, fixtures and equipment used in connection with Tenant’s occupancy.
Leasehold Improvements Allowance. Landlord agrees to provide to Tenant an allowance with respect to the Premises of $21.00 per rentable square foot of the Premises (as finally determined pursuant to Section 1.01(c) of the lease) (the "Tenant Improvement Allowance"). Based on the projected number of rentable square feet in the Premises, the Tenant Improvement Allowance would be $2,679,831.00 (i.e., a total of 127,611 rsf x $21.00 prsf = $2,679,831.00). The Tenant Improvement Allowance may be applied to the cost of all (i) space planning, (ii) Tenant Construction Documents, (iii) contractor costs, (iv) construction management fees, and (v) other tenant improvements (collectively, the "Construction Costs"). Any unused portion of the Tenant Improvement Allowance and the Construction Documents Allowance described in Section III below may be used by Tenant (a) to offset other Tenant improvement costs, including voice and data cabling, security system, signage and moving or (b) as an offset against monthly Base Rental until fully utilized. In the event that the Construction Costs exceed the Tenant Improvement Allowance, Landlord shall provide to Tenant, if required by Tenant, an additional allowance (the "Additional Allowance") of up to $3.50 per rentable square foot of the Premises ($446,638.50 based on the projected number of rentable square feet, 127,611 in the Premises) to be used for the excess Construction Costs (if and to the extent utilized by Tenant, the Additional Allowance together with the Tenant Improvement Allowance is hereinafter collectively referred to as the "Allowance"). The Additional Allowance shall be disbursed by Landlord to Tenant in the same manner as the Tenant Improvement Allowance. Tenant shall repay such Additional Allowance to Landlord as additional rent hereunder at the rate of $.1217 per rentable square foot per annum for each $1.00 of Additional Allowance (or portion thereof) utilized by Tenant.
Leasehold Improvements Allowance. Lessor agrees to pay to Lessee a Leasehold Improvements Allowance not to exceed Twenty-four thousand and no/100 Dollars ($24,000.00), subject to the following terms and conditions:

Landlord shall act as Construction Manager and shall receive a fee of $.50 per rentable square foot for construction management services, to be paid from the Leasehold Improvement Allowance. In the event the costs incurred in connection with the design, planning, managing and construction of Landlord's Work exceeds the Leasehold Improvements Allowance, Tenant shall be responsible for bearing and paying such excess costs (the "Excess Costs"), as follows:
Leasehold Improvements Allowance. The Landlord will pay to the Tenant, as a contribution towards the cost of the Tenant Improvements, installed by or on behalf of the Tenant, the lesser of the actual costs of such improvements or the sum of $16,756.00 plus GST. Such contribution shall be payable to the approved contractor in installments as agreed between Landlord and Tenant and the approved contractor, on submission of the contractor's invoices duly certified as correct by the Tenant that the specified work has been carried out. The final ten (10%) percent payment shall be made after the time limited for filing a lien has expired and following receipt by the Landlord of a statutory declaration as to the non-existence of any liens.
Leasehold Improvements Allowance. Landlord agrees to provide an allowance to Tenant for the construction of Tenant’s Work in the Expansion Area in the amount of Eighty Dollars ($80.00) per RSF of the Expansion Area (the “Allowance”). The Allowance shall be used solely and entirely for the construction of Tenant’s leasehold improvements, and for architectural, engineering, and project management fees, and for data and telecom cabling.

Leasehold Improvements Allowance. In connection with Tenant’s execution of this Lease, Tenant shall perform certain improvements to the Premises, as mutually agreed upon by Landlord and Tenant (the “Improvements”). Tenant acknowledges and agrees that the Improvements shall include (but shall not be limited to) the creation of laboratory space with supporting office space.
