The Borrower hereby authorizes (i) the Agent to communicate directly with the Borrower's and the Parent's independent certified public accountants, and (ii) such independent certified public accountants, upon the Agent's request, to provide to the Agent copies of any financial statements or to disclose to the Agent other information contained in their files with respect to the Parent and its consolidated Subsidiaries and their respective businesses and financial affairs. The Borrower shall provide the Agent, upon the Agent's request, with copies of all information contained in the Borrower's and the Parent's files with respect to the Parent's and its consolidated Subsidiaries' businesses and financial affairs, including work papers generated by such entities in connection with the preparation of financial statements.
