GOVERNANCE AND OPERATION OF THE SCHOOL. Host district and fiscal agent. DCBOE agrees to operate a public high school program in Davidson County, North Carolina with the official name of "Yadkin Valley Regional Career Academy" ("Valley Academy" aka "YVRCA") on behalf of the participating partners of Valley Academy as represented by an Advisory Board as set forth below. DCBOE also agrees to serve as the host district and fiscal agent for Valley Academy, and to provide a facility for the school pursuant to NCGS §115C-238.53. • Grade levels and number of students. Valley Academy intends to serve selected students in grades 9-12, with an optional fifth year for students to complete both an Associate’s Degree and high school diploma, with an estimated capacity of up to 350 students depending on facilities, financial resources and enrollments. The Advisory Board may recommend eventual expansion of Valley Academy to middle school grades subject to written approval of all the participating districts, and final approval of the host district, DCBOE. • Student selection and admission. The primary focus for recruitment and admissions are students who would be the first in their family to obtain a college degree. The DCBOE, upon recommendation of participating partners of Valley Academy and its Advisory Board, may set admission criteria and processes consistent with Part 9 of Article 16 of Chapter 115C of the North Carolina General Statutes, including random selection of students from all participating partners meeting admission criteria. In setting admission criteria, the DCBOE, participating partners and Advisory Board are committed to taking reasonable risks as a Cooperative and Innovative High School to admit students who may need intensive support to reach college-entry requirements. At the advice of the Advisory Board and upon approval of the host district, the principal, will employ techniques to maintain and make successful at-risk students who are challenging themselves to apply for Valley Academy. • District slots. Each district will be allocated slots so as not to exceed their proportionate total student ADM as determined in May of the preceding year. Slots that are not utilized by a participating district will be proportionately reallocated to the other participating districts with priority to students on the waiting list. • Legal compliance. Pursuant to Part 9 of Article 16 of Chapter 115C of the North Carolina General Statutes, the host district will ensure that all federal, state and local laws...

  • Maintenance and Operation Member-Generator agrees to maintain their system and facilities in accordance with applicable manufacturer's recommended maintenance schedule and standard prudent engineering practices. Member-Generator covenants and agrees to operate their system, facilities and equipment so as to minimize the likelihood for a malfunction or other disturbance, damaging or otherwise affecting or impairing Cooperative’s electrical system. Member-Generator shall comply with all applicable laws, regulations, zoning, building codes, safety rules and other environmental regulations or restrictions applicable to the design, installation, operation and maintenance of the Member-Generator's System. Member-Generator must, at least once every year, conduct a test to confirm that Member-Generator’s System automatically ceases to energize the output (interconnection equipment output voltage goes to zero) within two (2) seconds of being disconnected from Cooperative’s electrical system. Disconnecting the Member-Generator’s System from Cooperative’s electrical system at the visible disconnect switch and measuring the time required for the unit to cease to energize the output shall satisfy this test. Member-Generator shall maintain a record of the results of these tests and, upon request by Cooperative, shall provide a copy of the test results to Cooperative. If Member-Generator is unable to provide a copy of the test results upon request, Cooperative shall notify Member- Generator by mail that Member-Generator has thirty (30) days from the date Member-Generator receives the request to provide Cooperative with the results of a test. If Member-Generator does not provide Cooperative with the test results within the thirty (30) day time period or if the test results provided to Cooperative show that Member-Generator’s net metering unit is not functioning correctly, Cooperative may immediately disconnect Member-Generator’s System from Cooperative’s electrical system. If Member-Generator’s equipment ever fails this test, Member-Generator shall immediately disconnect Member-Generator’s System from Cooperative's electrical system. Member-Generator’s System shall not be reconnected to Cooperative's electrical system by the Member-Generator until Member-Generator’s System is repaired and operating in a normal and safe manner. Cooperative shall have the right to have a representative present and informed when any such tests are conducted. Cooperative does not warrant the testing procedures or results by the presence of its representative. Member-Generator is responsible for protecting their equipment from transient high voltage spikes caused by lightning and/or transient low voltage conditions caused by faults or short circuits, and from any other causes or events. Therefore, Cooperative shall not be responsible for damage to Member-Generator’s equipment allegedly caused by transient high voltage spikes caused by lightning and/or transient low voltage conditions caused by faults or short circuits or other causes or events. Member-Generator agrees to notify Cooperative no less than thirty (30) days prior to modification of the components or design of the Member-Generator’s System that in any way may degrade or significantly alter the System’s output characteristics. Member-Generator acknowledges that any such modifications will require submission of a new Application and Agreement to Cooperative.

  • Cooperation of the Parties Each Party agrees to cooperate fully in the preparation, filing, and prosecution of any Patent Rights under this Agreement. Such cooperation includes, but is not limited to:

  • Education and Outreach Health Education Advisory Committee The PH-MCO must develop and implement effective Member education and outreach programs that may include health education programs focusing on the leading causes of hospitalization and emergency room use, and health initiatives that target Members with Special Needs, including but not limited to: HIV/AIDS, Intellectual/Developmental Disabilities, Dual Eligibles, etc. The PH-MCO must establish and maintain a Health Education Advisory Committee that includes Members and Providers of the community to advise on the health education needs of HealthChoices Members. Representation on this Committee must include, but not be limited to, women, minorities, persons with Special Needs and at least one (1) person with expertise on the medical needs of children with Special Needs. Provider representation includes physical health, behavioral health, and dental health Providers. The PH-MCO must provide the Department annually with the membership (including designation) and meeting schedule of the Health Education Advisory Committee. The PH-MCO must provide for and document coordination of health education materials, activities and programs with public health entities, particularly as they relate to public health priorities and population-based interventions that are relevant to the populations being served and that take into consideration the ability of these populations to understand and act upon health information. The PH- MCO must also work with the Department to ensure that its Health Education Advisory Committees are provided with an effective means to consult with each other and, when appropriate, coordinate efforts and resources for the benefit of the entire HealthChoices population in the HC Zone and/or populations with Special Needs. The PH-MCO must provide the Department with a written description of all planned health education activities and targeted implementation dates on an annual basis.
