FUNCTIONAL SUPPORT SERVICES. Provider shall provide (i) actuarial services, including rate and profit share analysis, product development, counseling on reserving requirements, work required for or in support of rate and/or form submissions and actuarial certifications, (ii) telecommunications services and electronic data processing services, facilities and integration, including software programming and documentation, hardware utilization related to provision of certain policy owner services and administration, a system facilitating access to Provider's electronic data processing system, (iii) legal services, including representation of Company in the prosecution or defense of actions and in the negotiation and preparation of contracts, agreements and agency documents, product development and drafting and filing of policies and forms, governmental relations and advising on regulatory compliance and rendering opinions on various legal matters, (iv) purchasing and employee relations services, and (v) consultation in negotiating banking, accounting, and treasury arrangements.
FUNCTIONAL SUPPORT SERVICES. Subject to the ultimate control and direction of the BSIC Board of Directors, IMS shall provide telecommunications services and electronic data processing services, Facilities and integration, including software programming and documentation and hardware utilization.
FUNCTIONAL SUPPORT SERVICES. Parent shall provide: (i) actuarial services, and (ii) telecommunications services and electronic data processing services, including, without limitation, software programming and documentation and hardware utilization.
FUNCTIONAL SUPPORT SERVICES. Allstate, when requested by ILIC, shall provide functional support services including but not limited to: (i) actuarial services, including rate and profit share analysis, product research and development, counseling on reserving requirements, work required for or in support of rate and/or form submissions, actuarial certifications and advice with respect to reinsurance, (ii) services associated with the establishment, maintenance, registration with appropriate government agencies, and administration of separate accounts, including unit pricing of the separate accounts, (iii) services associated with the generation and mailing of Form 1099, (iv) services in support of ERISA, 403(b) and 401(k) plans, (v) services in connection with the management of bank accounts, (vi) telecommunications services and electronic data processing services, facilities and integration, including software programming and documentation and hardware utilization, (vii) legal services, including representation of ILIC in the prosecution or defense of actions and in the negotiation and preparation of contracts and other documents, product development and drafting and filing of policies and forms, governmental relations and advising on regulatory compliance and rendering opinions on various legal matters, (viii) purchasing, (ix) printing, forms management, distribution, mailings and bulk handling, (x) human resource and employee relations services, including payroll processing, employee benefit plan design and administration, compensation design and administration, and recruiting of personnel other than agents, (xi) reinsurance administration services, and (xii) other corporate services including but not limited to escheat processing, property and casualty insurance evaluation and procurement, office design services, lease negotiation, library, conference and travel, and purchasing.
FUNCTIONAL SUPPORT SERVICES. Parent shall provide telecommunications services and electronic data processing services, including, without limitation, software programming and documentation and hardware utilization.
FUNCTIONAL SUPPORT SERVICES. Subject to the ultimate control and direction of the IMSG Board of Directors, Bankers shall provide legal services, including the negotiation and preparation of contracts, agreements and agency documents, governmental relations and advising on regulatory compliance and rendering opinions on various legal matters, assisting IMSG with the selection and performance management of third party legal counsel associated for purposes of the prosecution or defense of actions. Other services to be provided include Human Resources, payroll and employee relations services. Also provided is Agency Accounting and Accounts Payable, Cash Management, Property Accounting, Audit Services and Agency Licensing.

Provider shall provide (i) actuarial services, including periodic review of reserves by line of business, periodic audit of annuity benefit payment calculations, rate and profit share analysis, counseling on reserving requirements, work required for or in support of rate and/or form submissions and actuarial certifications, (ii) legal services regarding general corporate matters, and (iii) employee relations services, payroll and benefits.
FUNCTIONAL SUPPORT SERVICES. Provider shall provide (i) actuarial services, including periodic review of reserves by line of business, periodic audit of annuity benefit payment calculations, rate and profit share analysis, product development, counseling on reserving requirements, work required for or in support of rate and/or form submissions and actuarial certifications, (ii) telecommunications services and electronic data processing services, facilities and integration, including software programming and documentation and hardware utilization, (iii) legal services, including representation of Company in the prosecution or defense of actions and in the negotiation and preparation of contracts, agreements and agency documents, product development and drafting and filing of policies and forms, governmental relations and advising on regulatory compliance and rendering opinions on various legal matters, and (iv) purchasing and employee relations services.

Provider may, as required by Company, provide (i) actuarial services, including rate and profit share analysis, product development, counseling on reserving requirements, work required for or in support of rate and/or form submissions and actuarial certifications, (ii) telecommunications services and electronic data processing services, facilities and integration, including software programming and documentation and hardware utilization, (iii) legal services, including representation of Company in the prosecution or defense of actions and in the negotiation and preparation of contracts, agreements and agency documents, product development and drafting and filing of policies and forms, governmental relations and advising on regulatory compliance and rendering opinions on various legal matters, and (iv) purchasing and employee benefits and relations services, including payroll services.

G1001 Resources, when requested by CSLIC, shall provide functional support services including, but not limited to, the following: (i) actuarial services, counseling on reserving requirements, actuarial certifications, and advice with respect to reinsurance; (ii) services associated with the establishment, maintenance, registration with appropriate government agencies, and administration of separate accounts, including unit pricing of the separate accounts, (iii) services associated with the generation and mailing of Form 1099; (iv) services in support of ERISA and Internal Revenue Code tax qualified plans, (v) services in connection with the management of bank accounts; (vi) telecommunications services and electronic data processing services, facilities, and integration, including software programming and documentation and hardware utilization; (vii) legal services, including representation of CSLIC in the prosecution or defense of actions and in the negotiation and preparation of contracts and other documents, governmental relations and advising on regulatory compliance, rendering opinions on various legal matters, product development, and drafting and filing of policies and forms; (viii) purchasing; (ix) printing, forms management, distribution, mailings, and bulk handling; (x) human resources and employee relations services, including payroll processing, employee benefit plan design and administration, compensation design and administration, and recruiting of personnel; (xi) investment services including, but not limited to, advice and recommendations concerning investments to be acquired, held, exchanged or sold, and strategies to be employed for financing and hedging of investments by CSLIC, and entering into investment transactions on behalf of CSLIC; and (xii) other corporate services including, but not limited to, escheat processing, conference and travel, and purchasing.
