Data Processing Services. Xxxx hereby irrevocably agrees that if at any time it shall cease to be the Servicer hereunder, it shall act (if the then-current Servicer so requests) as the data-processing agent of the Servicer and, in such capacity, Xxxx shall conduct the data-processing functions of the administration of the Receivables and the Collections thereon in substantially the same way that Xxxx conducted such data-processing functions while it acted as the Servicer. In connection with any such processing functions, the Borrower shall pay to Xxxx its reasonable out-of-pocket costs and expenses from the Borrower’s own funds (subject to the priority of payments set forth in Section 3.01).
Data Processing Services. Subject matter and purposes of the processing: The processing of Personal Data for the purpose of giving effect to the Company’s participation in the Program, as fully set out in this Data Privacy Addendum . Duration/retention and frequency: Personal Data may be transferred on a continuous basis for the Term of this Data Privacy Addendum. Type of Personal Data and categories of data subject: The personnel and executive contacts at Company (e.g., Executive, Sales, Marketing, Finance, Technical, Developer, Operations, Legal and Services) and persons who register as an administrator on Zebra’s channel partner platform through the Company’s participation in the Program may provide the following: • Names, addresses, contact numbers, email addresses, salutations, countries, titles, primary roles, secondary roles, fax numbers and preferred languages; • The training and/or certification status of Company’s personnel in the Program; • Product support data (including Zebra’s issued engineering change notifications (ECNs); • Application for Program membership, promotions, benefits and any changes to the Company’s engagement in the Program; • Information provided as part of a due diligence compliance review by Company for sanction screening, anti- money laundering protection and applicable lawful purposes (e.g., names, addresses, dates of birth and passport numbers); • Provision of contact details as part of the Zebra Systems and Tools and other Program resources; and • Maintenance of Company’s profile and contact details. The personnel and executive contacts at the end user customers (s) (e.g., Executive, Sales, Marketing Finance, Technical, Developer, Operations, Legal and Services) to whom Company has sold Zebra Product or Services may provide the following: • Names, addresses, contact numbers and email addresses. Nature and purpose of the Data Processing Services: Company has instructed Zebra to undertake the following data processing activities in connection with: • Application information and contact details provided by Company in connection to the Program; • Records, contracts storage, market research, audits, training (e.g., webinars) and certification, legal and compliance, dashboards and reports generated in connection with the Program; • Subscription to promotional, sales and marketing programs and receiving authorization benefits and incentives; • Electronic communications relating to the Program (e.g., webinar invitations, surveys and Product launches), P...
Data Processing Services. To obtain the full benefits of the SOFTWARE PRODUCT, you will need to obtain associated data processing services from a processing center that is interfaced with the SOFTWARE PRODUCT. Licensed users of the SOFTWARE PRODUCT can obtain the required data processing services from Amelicor for an additional fee.
Data Processing Services. Computer Center agrees to render to Participating Bank the data processing services described on Exhibit "A" (the "Services") for the term of this Agreement, and Participating Bank agrees to purchase the Services. This Agreement describes the general nature of the Services and the terms under which the Computer Center is to provide or make the Services available to the Participating Bank. In the event of any conflict between the language of this Agreement and any brochures, verbal representations, or other materials describing the Services, the language of this Agreement shall control.
Data Processing Services. 1. The Supplier shall comply with any further written instructions with respect to processing by the Customer.
Data Processing Services. Beginning on the date specified in the Project Plan, Liberty shall provide to UFL the services described in Exhibit C (the "Data Processing Services") at the levels of service set forth in Exhibit D (the "Data Processing Performance Standards") for the Base Fees set forth in Exhibit Q; provided, however, that Liberty shall not be bound by the Data Processing Performance Standards until it has commenced performing the Data Processing Services from its Data Center. For so long as Liberty shall agree to provide Data Processing Services with respect to all Policies maintained by UFL and, if the Closing has occurred, PNL under this Agreement,. Liberty shall be the exclusive provider of Data Processing Services for UFL and, if the Closing has occurred, PNL; provided, however, in the event that UFL and Liberty are unable to agree upon terms on which Policies other than those listed on Exhibit U or maintained by PNL on the Effective Date will be processed by Liberty under this Agreement, UFL and, if the Closing has occurred, PNL shall be entitled to have all such Policies as to which no such agreement is reached processed by a party other than Liberty.
Data Processing Services. From the date of this Agreement to the Closing Date, Seller will provide such assistance to Buyer as will be reasonably necessary to assist Buyer in converting and transferring all information concerning the Loans, Deposits and the other Purchased Assets and Assumed Liabilities into Buyer's own data processing system. After execution of this Agreement, Seller will provide Buyer with computer file instructions with respect to the information in its data processing system regarding the Purchased Assets and Assumed Liabilities, together with operational procedures designed to implement the transfer of such information to Buyer. Each party will designate an individual to serve as liaison concerning the transfer of data processing information and other similar operational matters.
Data Processing Services. A. Vitafort shall provide to HLYP all data processing and other computer services necessary for HLYP to conduct its business. These services shall allow HLYP to have access to certain hardware and software, at a level of service and availability (including, without limitation, on-line connection time) to permit HLYP to continually operate its business. Data processing and other computer services shall include, without limitation, training, technical support, computer operators, coordinators, analysts, managers and other personnel familiar with the use and operation of all computer equipment, maintenance, information, statements and reports (collectively, the "Data Processing Services"). These computer services will be provided to HLYP by Vitafort's vendors. These services will be provided to HLYP per a cost sharing shown at Schedule A.
Data Processing Services. Citigroup and TPC acknowledge and agree that, until the Trigger Date, those data processing services currently provided by TPC to TIC and/or other members of the Citigroup Affiliated Group shall continue to be provided to TIC and/or other members of the Citigroup Affiliated Group on the same terms and at the same cost as such services are being provided to TIC and/or other members of the Citigroup Affiliated Group as of the date of this Agreement. Citigroup and TPC further acknowledge and agree that, until the Trigger Date, those data processing services currently provided by Citigroup to TPC 49 and/or its Subsidiaries shall continue to be provided to TPC and/or its Subsidiaries on the same terms and at the same cost as such services are being provided to TPC and/or its Subsidiaries as of the date of this Agreement.
Data Processing Services. Each party hereto agrees to provide to the other data processing and transfer services as shall be reasonably necessary for the conversion and transfer of information concerning the Deposit Liabilities into Purchaser’s data processing system. As soon as practicable after execution of this Agreement, each party hereto shall provide to the other computer file instructions which maintain information on the deposit accounts, together with operational procedures necessary to implement the transfer of the information to Purchaser. Seller and Purchaser shall each designate an individual to serve as liaison from the date hereto through the Closing Date concerning operational matters. Seller shall continue to provide post-closing assistance to Purchaser as may be reasonably necessary for one hundred twenty (120) days following the Closing Date.
