Ultimate Control. All services furnished under this Agreement shall always be subject to the direction and control of the Board of Directors and the authorized Officers of Company. The Board shall act in accordance with Section 1200 of the California Insurance Code to approve or ratify all the investments made in accordance with this Agreement and; if the Board acts not to approve any investment made under this Agreement the investment shall be disposed of in as prompt a manner as reasonable. Notwithstanding any other provision of this Agreement, it is understood and agreed that Company reserves the right to direct any action to be taken hereunder on its behalf by Investment Manager.
Ultimate Control. PPM shall file a FERC 205 Notice. As MMC shall have ultimate control regarding the dispatching of the Facilities for the generation of electric energy as provided in the Protocols and Sections 2.1 and 5.3, no FERC 203 Application shall be filed. If FERC determines that a FERC 203 Application is required, the Parties shall either (i) terminate this Agreement (with all payments and performance due on early termination remaining due to the maximum extent permitted under applicable law), (ii) modify or amend this Agreement so as to address any concerns of FERC to the extent such amendments or modifications are commercially reasonable and comply with Requirements of Law, or (iii) MMC shall file as quickly, and the Parties shall pursue successful acceptance of, as commercially reasonable, a FERC 203 Application as required by FERC.
Ultimate Control. The Company shall at all times exercise ultimate authority and control over the business of the Company, including authority and responsibility regarding the powers, duties and responsibilities vested in the Company with respect to the Centers by applicable law and regulations. Without limiting this authority, the Managers shall retain authority to approve, in advance,
Ultimate Control. CMHC shall have and maintain throughout the period hereof ultimate control and authority for the operation and administration of the Program.
Ultimate Control. Hospital shall have and maintain throughout the period hereof ultimate control and authority for the operation and administration of the Program.
Ultimate Control. The Parties acknowledge and agree that with respect to any insurance company receiving services under this Agreement, such insurance company shall (i) maintain oversight and have ultimate control and responsibility for the functions being delegated hereunder; and (ii) monitor services annually for quality assurance.

Ultimate Control. The Cleveland Clinic Foundation shall at all times exercise ultimate authority and control over the policies and assets of the UNIT, and shall retain the ultimate authority and responsibility regarding the powers, duties, and responsibilities vested in The Cleveland Clinic Foundation with respect to the UNIT by applicable law and regulations. In accordance with the intent of the parties, Management Company shall, subject to the approval of The Cleveland Clinic Foundation, establish general administrative policies which shall be carried out by Management Company as specified under this Agreement.
Ultimate Control. Vanderbilt shall at all times exercise ultimate authority and control over the policies and assets of the Unit, and Vanderbilt shall retain the ultimate authority and responsibility regarding the powers, duties, and responsibilities vested in Vanderbilt with respect to the Unit by applicable law and regulations. Management Company shall, subject to the approval of Vanderbilt, which approval will not be unreasonably withheld, establish general administrative policies, which policies shall be carried out by Management Company as specified under this Agreement.
Ultimate Control. Hospital and the Alliance shall at all times exercise ultimate authority and control over and responsibility for the business, medical practice, facility and operations of the IRL. Without limiting this authority, the Hospital and the Alliance shall retain authority to approve, in advance: (a) all decisions and actions of the Manager that are outside the ordinary course of the IRL's business; (b) any Budget (as defined below) or any significant modifications to any Budget; (c) the engagement of the Medical Director (as defined below) and any physician on the medical staff of Hospital; (d) entering into any agreement to purchase materials or supplies for use in the IRL, subject to any general authority granted in writing to Manager by the Alliance and/or Hospital to make purchases within specified parameters; and (e) purchase of equipment for use in the IRL or facility improvements to the IRL.
