Equipment Acceptance. The criterion for acceptance of Company Equipment by Distributor shall be the successful operation of the Equipment using Company's standard test procedures and diagnostic test programs applicable to the Equipment involved.

Equipment Acceptance. Acceptance takes place when the Hardware has been installed and the Operating System software has been loaded either by Buyer, or by Seller, or by Manufacturer's Service Technician. Acceptance for peripheral equipment, not a part of the system equipment, such as video terminals, printers, modems, occurs when said peripheral equipment is received by Buyer. Title to the equipment will be delivered to Buyer upon receipt of payment in full.
Equipment Acceptance. The commercial in-service handling of first call at the end of each deployment phase described in the Price Summary contained in Exhibit 'A" shall constitute the acceptance by Buyer of the equipment delivered. Company and BUYER shall accordingly execute the Acceptance Certificate forthwith at the cunclusion of each deployment phase, substantially in the form shown in Exhibit G.
Equipment Acceptance. It is anticipated that the Equipment will be delivered to and installed at the Equipment Location over a period of 5 months beginning on the Commencement Date. Lessee shall, as set forth in Attachment C, periodically execute and deliver to Lessor a Certificate of Equipment Acceptance, substantially in the form as Exhibit A hereto which shall: (a) detail those items of Equipment which have been delivered to and accepted by Lessee during the period since the last executed Certificate of Equipment Acceptance; and, (b) serve as authorization for Lessor to pay the Vendors the Cost of the Equipment listed therein.
Equipment Acceptance. For a period of thirty (30) days after Seller’s has completed equipment installation and demonstrated to UTMB that the equipment is ready for operational/clinical use, UTMB will conduct performance testing of the equipment to ensure it conforms in all respects to its specifications and requirements of this Agreement. The UTMB Project Coordinator will be responsible for the administration of the performance testing and upon completion of such testing recommend approval, delay (with specified time for remedy), or rejection of the equipment via the Purchasing Department. The Purchasing office will notify Seller of the results of such performance testing. Official notification of acceptance must be in writing, and issued by the UTMB Purchasing Department.

Equipment is accepted on the earlier of expiration of the Equipment Test Period or the date the Equipment is first used for non-acceptance testing purposes.

Equipment Acceptance. Lessee shall have accepted the Equipment for purposes of this Lease upon Xxxxxx's delivery of a signed delivery and acceptance certificate to Lessor. Xxxxxx represents that any agent of Xxxxxx who verifies delivery and acceptance of the Equipment, in writing, has actual authority to do so. Upon Lessor and Xxxxxx’s acceptance of this Lease, and except as provided in this Lease including Section 19 hereof, THIS LEASE SHALL BE NON-CANCELABLE, and Xxxxxx's obligations hereunder shall not xxxxx for any reason.

Equipment Acceptance. The Company will inspect and test the Equipment as soon as it is delivered. The Company agrees that CEFL has no duty to inspect or test the Equipment either before or after its delivery. Immediately after delivery, the Company will notify (in written form as CEFL may require) either (i) CEFL of its acceptance of the Equipment or (ii) CEFL and the supplier or manufacturer of its rejection of the Equipment. By accepting the Equipment, the Company acknowledges that the Equipment has been delivered in good condition and operating order and in accordance with its intended purpose as prescribed by the Equipment supplier and/or manufacturer and that the Equipment is located at the Equipment Location. If the Company rejects or does not accept the Equipment or if it is determined at any time that the Equipment is defective or unacceptable for any reason, the Company shall remain bound by its obligations under the Lease and will have no claim against CEFL in respect to the Equipment, but may, if it so chooses, have a claim against the supplier, the manufacturer and/or other persons.
