EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. DSPGI, on behalf of itself and the Transferring Entities, hereby transfers and assigns to Ceva, and Ceva hereby accepts such transfer and assumes, all of the rights and obligations of the Transferring Entities under all agreements entered into by the Ceva Employees with the Transferring Entities, or any of them, relating to confidentiality, assignment of inventions and similar matters (“Employee Proprietary Information Agreements”), which agreements shall remain in full force and effect in accordance with their terms, provided that DSPGI shall retain its rights under the Employee Proprietary Information Agreements to the extent required to bring actions (at law, in equity or otherwise) for any breach of such Employee Proprietary Information Agreements relating to acts or omissions prior to the Effective Date by the Ceva Employees who become employees of Ceva. The Parties shall reasonably cooperate in connection with any action against any of the Ceva Employees.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. The Company hereby ------------------------------------------- covenants and agrees that it will cause each of the Company's employees to execute proprietary information and invention assignment agreements in the Company's standard form, which has been provided to the Investors and their counsel or a form substantially similar thereto.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. Each current and former employee and consultant with access to Company confidential information/trade secrets will enter into a non-disclosure and proprietary rights assignment agreement in a form reasonably acceptable to the Investors.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. Copies of executed Employee Proprietary Information Agreements, substantially in the form attached as Exhibit G, shall have been delivered to counsel for the Investors.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. Except as set forth in Schedule 4.15, IDO and DSSI shall have delivered to CA copies of agreements in the form attached as Schedule 3.2(h) signed by each current employee or contractor of Seller involved in development of any of the Products. Sellers shall have delivered to CA an Assignment and Assumption Agreement assigning to CA all of its rights under such employee proprietary information agreements insofar as such rights pertain to the Assets.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. Seller shall have delivered to CA copies of agreements signed by each current employee or contractor of Seller involved in development of any of the Software Products: (i) waiving any and all rights to, and conveying to Seller any and all right, title and interest in, all proprietary products, patents, copyrights, trademarks (or applications in respect of any thereof) and any and all other intellectual property comprising any part of the Purchased Assets or developed or conceived by such employee while employed by Seller or otherwise; and (ii) agreeing that each such employee or contractor will not disclose any confidential information and documents of Seller. Seller shall have delivered to Purchaser an instrument assigning to Purchaser all of its rights under such employee proprietary information agreements insofar as such rights pertain to the Purchased Assets.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. Each Hired Employee shall have executed and delivered to Buyer the standard form of Employee Proprietary Information, Agreement of Buyer or Parent in substantially the form attached hereto as Exhibit F, and such agreements shall be in full force and effect.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. Each employee of RTI shall have executed and delivered to EAI an employee proprietary information agreement substantially in the form attached as EXHIBIT B.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. The Company and all Company officers, consultants and employees shall have executed and delivered an Employee Proprietary Information and Invention Assignment Agreement in the form attached hereto as EXHIBIT F.
EMPLOYEE PROPRIETARY INFORMATION AGREEMENTS. The Company shall obtain, and shall cause its subsidiaries to obtain, an Employee Proprietary Information and Invention Assignment Agreement in substantially the form of EXHIBIT F from all future officers, key employees, other employees and consultants who will have access to confidential information of the Company or any of its subsidiaries, upon their employment by the Company or any of its subsidiaries.
