Software Products. Save as otherwise set forth in the Agreement, the right to use any Software Product is personal to the Licensee, for its own internal use, and is non-transferable, except with the Licensor’s prior written consent, in which case the Licensee shall cause the assignee or sub-licensee to agree to the terms of this Software License.
Software Products. Save as otherwise specified in any applicable commercial conditions relating to any Software Product as set forth in the Agreement and subject to the Licensee having complied with the terms of this Software License, the rights under this Software License shall be granted from the date of first delivery of the Software Product until the earlier of (i) for Software Products that are installed on board the Aircraft, the Licensee ceasing to operate the Aircraft on which such Software Products are installed, or (ii) the Licensee no longer owning or operating any Aircraft, or (iii) the Agreement or this Software License being terminated for any reason whatsoever, in which case the Licensee shall immediately cease to use the Software Products.
Software Products. The intended use of the Software Products is to help manage and administer Licensee’s business (the “Business”).
Software Products. Each party acknowledges that any software products provided to it by the other party hereunder (“Software Product”) constitutes only discrete copies of software, the media in which it is stored, and related documentation, as shipped to OEM. Nothing herein transfers any right, title or interest in the software or any intellectual property rights therein from one party to the other. Supplier’s use or distribution of the OEM’s Software Products requires and is subject to a separate software license agreement.
Software Products. The Licensor warrants that Software Products are prepared in accordance with the state of art at the date of their conception and shall perform substantially in accordance with their functional and technical specifications current at the time of their delivery. Should Software Products be found not to conform to their documentation, the Licensee shall notify the Licensor promptly, but no later than four (4) months after delivery of Software Products, in such case, the exclusive liability of the Licensor shall be to take reasonable, and proper steps to correct and/or replace Software Products at its own expense.
Software Products. Company has received no customer complaints concerning alleged defects in its computer appraisal software products, including, without limitation, Value Express (collectively, the "Computer Software") that, if true, would materially adversely affect the operations or financial condition of Company.
Software Products the relevant Productsup Software modules as parts of the Services ordered by Client; to be accessed by Client through the Services, as set forth in the Order Form; Source Code: a software product written in a programming language, which enables a suitably educated expert to read and understand the code; Subscription(s): subscriptions purchased by Client under an Order Form which entitle Client to access and use the Services and the Documentation in accordance with the Scope and this Master Services Agreement; Subscription Fees: the fees payable by Client to Productsup for Client’s and its Authorized Users’ use of the Services as set out in the Order Form; Subscription Term: the Initial Subscription Term and any subsequent Renewal Periods; Support SLA: Product Up’s policy for providing the Product and Account Support to Client, as referenced in Annex 3.2; Taxes: any applicable taxes, including without limitation, withholding, sales, use, excise, value added tax, duties, assessments, excise or other similar taxes based on the Agreement but shall not include taxes based on Productsup’s gross income; Update(s): a refined version of the applicable Software Products, which fixes or circumvents bugs and/or may include modifications, service or feature enhancements which may be delivered by Product Up to Client during the Subscription Term; Virus: anything (including any software, code, file, programme or device) which may prevent, impair or otherwise adversely affect the access to or operation, reliability or user experience of any computer software, hardware or network, telecommunications service, equipment or network or any other service or device, including worms, trojan horses, viruses and other similar things or devices.
