Effect of Memorandum. The purpose of this instrument is to give notice of the Lease and the Lease Supplement and their respective terms, covenants and conditions to the same extent as if the Lease and the Lease Supplement were fully set forth herein. Effect of Memorandum. The purpose of this Memorandum of Master Lease is to give notice of the existence of such Master Lease, and it is understood that this Memorandum of Master Lease shall not modify or amend the Master Lease in any respect. In the event there are any conflicts between the Master Lease and this Memorandum of Master Lease, the Master Lease shall control in all cases.
Effect of Memorandum. The Chief is an at-will employee of the City of Yreka, in all other respects, this Memorandum of Understanding sets forth the terms and conditions affecting his employment. During the term of this Memorandum, the provisions hereof shall govern the wages, hours, benefits, and working conditions of employees with the represented unit covered by the Memorandum, the current edition of the Yreka Police Department Policy Manual, and as otherwise provided in City personnel rules and regulations, resolutions, and ordinances wherein this Memorandum is silent. The Employee Personnel System and the Personnel Rules and Regulations are on file in the City Manager’s Office at City Hall. Nothing herein shall be construed to limit the authority by the City to change or modify the Employee Personnel System or the Personnel Rules or Regulations, subject, however, to the City’s obligation to meet and confer with the Association. Should the City propose to change a negotiable condition of employment that is not specifically included in this Memorandum, during the term of this Memorandum, the City agrees to notify the Association of its proposed change and to meet and confer with the Association regarding the proposed change if requested to by the Association. Any conflict between the specific terms of this Memorandum and the above noted City personnel rules and regulations, resolutions and ordinances shall be resolved in favor of this Memorandum. This Memorandum of Understanding supersedes any past practice which may have occurred during the term of any prior Memorandum of Understanding.
Effect of Memorandum. In the event of any conflict between a specific provision of this Memorandum of Understanding and a written rule, resolution, regulation or ordinance of the City, including but not limited to the Employee Personnel System and the Personnel Rules and Regulations and Resolutions, the terms of this Memorandum of Understanding shall prevail and such conflict shall be resolved in favor of the specific provisions of the Memorandum of Understanding, unless otherwise mutually agreed to by the parties. In connection with any meet and confer process not only contract negotiations, the employee and employer relation rules (currently Resolution 2017-10) and the Xxxxxx-Xxxxxx- Brown Act, Government Code 3500 et seq. shall apply. During the term of the agreement, the City and Association shall meet and confer to finalize the language of the job class structure and descriptions.
Effect of Memorandum. Except as expressly modified hereby, the Asset Purchase Agreement and all other documents evidencing the Closing shall remain in full force and effect.
Effect of Memorandum. This Memorandum contains only a summary of some primary terms of the Lease, which is incorporated herein by this reference. Whether or not restated herein, the terms and conditions of the Lease remain in full force and effect. In the event of any conflict between the provisions of the Lease and this Memorandum, the provisions of the Lease shall control.
Effect of Memorandum. Except as otherwise expressly modified herein, the terms and conditions of the Lease shall remain unmodified and continue in full force and effect. In the event of any conflict between the terms and conditions of the Lease and this Memorandum, the terms and conditions of this Memorandum shall prevail.
