Dispute and Claim Procedures. 10.1.1 When the Design/Builder and the District fail to agree whether or not any work is within the scope of Contract Documents, the Design/Builder shall immediately perform such work upon receipt of a written notice to do so by the District. Within fourteen (14) days after receipt of such notice, the Design/Builder may submit a written protest to the Dis- trict, specifying in detail what particular Contract Documents were exceeded, and approx- imate change in cost resulting so that the District will have notice of a potential claim. Failure to submit a protest within the specified period shall constitute a waiver of any and all rights to an adjustment in Stipulated Sum and Contract Time due to such work, and the Design/Builder thereafter shall not be entitled to adjustment of Stipulated Sum or Contract Time. For any such work that is found to exceed Contract Documents, there shall be an adjustment in Stipulated Sum and Contract Time on the same basis as any other change in the Work.

Dispute and Claim Procedures. .6 Any dispute not resolved by the above meetings may be settled by arbitration in accordance with the American Arbitration Association Construction Industry Rules provided both the STA and the Design/Builder agree in writing. Either party may initiate arbitration by filing a demand for arbitration made in compliance with the requirements of the applicable statutes and regulations referenced below. The demand for arbitration shall state the nature of the dispute, the amount involved, if any, and the remedy sought. Arbitration shall be in accordance with Public Contract Code and its implementing regulations. Arbitration shall be in Fairfield, California, unless otherwise agreed to by the parties. The demand for arbitration on a claim by the Design/Builder shall be made no later than ninety (90) days after the date of service on the Design/Builder of the final written decision made by the STA.

The Contractor shall provide supporting data and shall provide and maintain records of costs attributable to Disputes in similar manner as for Change Orders in Article 6. The AOC’s Representative and the Contractor’s Superintendent will make every reasonable effort to resolve the Dispute prior to proceeding to the next step. Either the AOC or the Contractor may call a special meeting for the purpose of resolving the Dispute. Such a meeting will be held within 7 days of written request thereof. If the Dispute as to the Contract Documents has not been resolved, the Contractor shall, within 14 days after the special meeting, take one or more of the following actions: submit additional supporting data requested by the AOC; modify the initial Dispute; or notify the AOC that the initial Dispute stands as is.

When the Named Fiduciary has a claim which may be covered under the provisions described in the insurance policy, they should contact the office named above, and they will either complete a claim form and forward it to an authorized representative of the Insurer or advise the named Fiduciary what further requirements are necessary.   • Dispute Procedures The Final Settlement Statement shall become final and binding on the Parties on the 45th day following the date the Final Settlement Statement is received by MLP, unless prior to such date MLP delivers written notice to HOLDINGS of its disagreement with the Final Settlement Statement (a “Settlement Notice”). Any Settlement Notice shall set forth MLP’s proposed changes to the Final Settlement Statement, including an explanation in reasonable detail of the basis on which MLP proposes such changes. If MLP has timely delivered a Settlement Notice, MLP and HOLDINGS shall use good faith efforts to reach written agreement on the disputed items. If the disputed items have not been resolved by MLP and HOLDINGS by the 30th day following HOLDINGS’ receipt of a Settlement Notice, any remaining disputed items shall be submitted to the Independent Accountants for resolution within ten (10) Business Days after the end of the foregoing 30-day period. The fees and expenses of the Independent Accountants shall be borne fifty percent (50%) by HOLDINGS and fifty percent (50%) by MLP. The Independent Accountants’ determination of the disputed items shall be final and binding upon the Parties, and the Parties hereby waive any and all rights to dispute such resolution in any manner, including in court, before an arbiter or appeal.

  • Claim Procedure Any Person entitled to indemnification hereunder shall (i) give prompt written notice to the indemnifying party of any claim with respect to which it seeks indemnification (provided that the failure to give prompt notice shall impair any Person’s right to indemnification hereunder only to the extent such failure has prejudiced the indemnifying party) and (ii) unless in such indemnified party’s reasonable judgment a conflict of interest between such indemnified and indemnifying parties may exist with respect to such claim, permit such indemnifying party to assume the defense of such claim with counsel reasonably satisfactory to the indemnified party. In such instance, the conflicted indemnified parties shall have a right to retain one separate counsel, chosen by the Holders representing a majority of the Registrable Securities included in the registration if such Holders are indemnified parties, at the expense of the indemnifying party.

  • Dispute Resolution Procedures (a) In the event a dispute arises about the interpretation, application, calculation of Loss, or calculation of payments or otherwise with respect to this Single Family Shared-Loss Agreement (“SF Shared-Loss Dispute Item”), then the Receiver and the Assuming Institution shall make every attempt in good faith to resolve such items within sixty (60) days following the receipt of a written description of the SF Shared-Loss Dispute Item, with notification of the possibility of taking the matter to arbitration (the date on which such 60-day period expires, or any extension of such period as the parties hereto may mutually agree to in writing, herein called the “Resolution Deadline Date”).
