Disclosure of Contract Terms. Notwithstanding anything to the contrary in this Article 13, and subject to applicable export restrictions and Article 13d) above, the terms and conditions of this Contract may not be disclosed by either Party to any person except with the prior written consent of the other Party, provided, in each case, that the recipient of such information agrees to treat such information as confidential and executes and delivers a confidentiality agreement reasonably acceptable to both Parties or is otherwise subject to confidentiality obligations reasonably satisfactory to both Parties. Disclosure of Contract Terms. Notwithstanding anything to the contrary in this Article 26, and subject to applicable Export Control Laws, the terms and conditions of this Contract may not be disclosed by either Party to any person, other than to Contractor’s or Purchaser’s respective members of their Board of Directors, employees, consultants, and agents, except with the prior written consent of the other Party which shall not be unreasonably withheld, provided, in each case, that the recipient of such information agrees to treat such information as confidential and executes and delivers a confidentiality agreement or is otherwise subject to confidentiality obligations providing for confidential treatment thereof which in all cases shall be consistent with the confidentiality obligations contained herein; provided, further, that either Party shall have the right to disclose such information as is required under applicable law or the binding order of a court or government agency (subject to Article 26.3 above); provided, further, that Purchaser shall have the right to disclose any or all of the terms and conditions of this Contract to its insurance brokers and underwriters as Purchaser deems necessary in its sole judgment; and provided, further, that Purchaser shall have the right to disclose any or all of the terms and conditions of this Contract if required to do so pursuant to the terms of Purchaser’s financing agreements, stock purchase agreements or processes, or restructuring processes; provided in all cases contemplated above, that (i) the disclosure of such information shall be made in compliance with all applicable Export Control Laws, and (ii) the recipient of such information agrees to treat such information as confidential and executes and delivers a confidentiality agreement or is otherwise subject to confidentiality obligations providing for confidential treatment thereof which in all cases shall be consistent with the confidentiality obligations contained herein. Disclosure of Contract Terms. Consulting Firm understands that the terms and conditions of this Agreement are AT&T Broadband proprietary information and agrees not to disclose such information to any individual or company unless expressly required to do so by a valid order of a court or other governmental body of the United States or any political subdivision thereof, provided that Consulting Firm has given AT&T Broadband prompt prior notice of such order and has afforded AT&T Broadband adequate opportunity to obtain a protective order or other appropriate protection. Consulting Firm further understands that violation of this provision will constitute a material breach of this Agreement and will result in termination of this Agreement.

As requested by the Company from time to time and upon termination of the Employment Term with the Company, the Employee shall promptly deliver to the Company all copies and embodiments, in whatever form (including electronic), of all Confidential Information in the Employee’s possession or control irrespective of the location or form of such material and, if requested by the Company, shall provide the Company with written confirmation that all such materials have been so delivered.

  • Non-Disclosure of Confidential Information (a) Executive acknowledges that the Company possesses certain confidential and propriety information that has been or may be revealed to him or learned by Executive during the course of Executive’s employment with the Company and that it would be unfair to use that information or knowledge to compete with or to otherwise disadvantage the Company. Such confidential information shall include, but shall not be limited to, proprietary technology, trade secrets, patented processes, research and development data, know-how, market studies and forecasts, financial data, competitive analyses, pricing policies, employee lists, personnel policies, the substance of agreements with customers, suppliers and others, marketing or dealership arrangements, servicing and training programs and arrangements, supplier lists, customer lists and any other documents embodying such confidential information. This confidentiality obligation shall not apply to any confidential information, which is or becomes publicly available other than pursuant to a breach of this paragraph 12(a) by Executive.

  • Disclosure of Agreements The agreements and documents described in the Registration Statement, the Preliminary Prospectus and the Prospectus conform to the descriptions thereof contained therein and there are no agreements or other documents required to be described in the Registration Statement, the Preliminary Prospectus or the Prospectus or to be filed with the Commission as exhibits to the Registration Statement, that have not been so described or filed. Each agreement or other instrument (however characterized or described) to which the Company is a party or by which its property or business is or may be bound or affected and (i) that is referred to in the Registration Statement, Preliminary Prospectus or the Prospectus or attached as an exhibit thereto, or (ii) is material to the Company’s business, has been duly and validly executed by the Company, is in full force and effect in all material respects and is enforceable against the Company and, to the Company’s knowledge, the other parties thereto, in accordance with its terms, except (x) as such enforceability may be limited by bankruptcy, insolvency, reorganization or similar laws affecting creditors’ rights generally, (y) as enforceability of any indemnification or contribution provision may be limited under the federal and state securities laws, and (z) that the remedy of specific performance and injunctive and other forms of equitable relief may be subject to the equitable defenses and to the discretion of the court before which any proceeding therefor may be brought, and none of such agreements or instruments has been assigned by the Company, and neither the Company nor, to the Company’s knowledge, any other party is in breach or default thereunder and, to the Company’s knowledge, no event has occurred that, with the lapse of time or the giving of notice, or both, would constitute a breach or default thereunder. To the Company’s knowledge, performance by the Company of the material provisions of such agreements or instruments will not result in a material violation of any existing applicable law, rule, regulation, judgment, order or decree of any governmental agency or court, domestic or foreign, having jurisdiction over the Company or any of its assets or businesses, including, without limitation, those relating to environmental laws and regulations.

  • No Disclosure of Confidential Information The Consultant acknowledges that the Company’s trade secrets and private processes, as they may exist from time to time, and confidential information concerning the formation and development of the Bank, the Bank’s planned products, technical information regarding the Bank, and data concerning potential customers of and investors in the Bank are valuable, special, and unique assets of the Company, access to and knowledge of which are essential to the performance of the Consultant’s duties under this Agreement. In light of the highly competitive nature of the industry in which the business of the Company is conducted, the Consultant further agrees that all knowledge and information described in the preceding sentence not in the public domain and heretofore or in the future obtained by the Consultant as a result of his engagement by the Company shall be considered confidential information. In recognition of this fact, the Consultant agrees that the Consultant will not, during or after the term of this Agreement, disclose any of such secrets, processes, or information to any person or other entity for any reason or purpose whatsoever, except as necessary in the performance of the Consultant’s duties as a consultant to the Company and then only upon a written confidentiality agreement in such form and content as requested by the Company from time to time, nor shall Consultant make use of any of such secrets, processes or information for Consultant’s own purposes or for the benefit of any person or other entity (except the Company and its subsidiaries, if any) under any circumstances during or after the term of this Agreement.
