The Company will file the Joint Press Release with the Securities and Exchange Commission as required by the securities laws.
Neither the Company nor any Person acting on its behalf has provided the Investors or their agents or counsel with any information that constitutes or would reasonably be expected to constitute material nonpublic information concerning the Company or its subsidiary, other than (A) with respect to the transactions contemplated hereby, which will be disclosed in the Press Release or a Form 8-K, (b) the In-License and (c) as set forth on the Disclosure Schedule.
This shall not affect any announcement or circular required by law or any regulatory body or the rules of any recognised stock exchange or regulatory body to be made or issued by the Purchaser (other than the Press Release and any related communication by the Purchaser which reflects the content of the Press Release).
The Joint Press Release shall be subject to the review and approval by each Party prior to release, such approval not to be unreasonably withheld or delayed.
