Condition of System. All material properties, equipment and systems ------------------- of the Company are in good repair, working order and condition and are in material compliance with all standards and rules imposed (i) by any governmental agency or authority in which such properties, equipment and/or systems are located or operated and (ii) under any agreements with customers.
Condition of System. As of the Transfer Date, to the best of Interconnector's knowledge, the System is in reasonably good operating condition, is capable of providing the end users a safe and reliable source of gas service, complies with the Commission's General Orders, is compatible, and, in the case of new construction, meets SoCalGas' then current design and construction standards.
Condition of System. The Company has provided to CWS a map of the Company’s System, which identifies all water mains used in the System, which description or map is true, complete and correct in all material respects. The System was designed and installed in compliance with good waterworks engineering practices and the applicable rules and regulations of the MPUC in effect at the time of design and installation. The System, taken as a whole, has been adequately maintained and is in good operating condition and repair, ordinary wear and tear excepted, is fit for its intended purpose and conforms to all restrictive covenants, applicable laws, regulations and ordinances relating to its construction, use and operation.
Condition of System. Interconnector represents and warrants that Self-Build Facilities (a) are in good operating condition, (b) are capable of providing the end users a safe and reliable source of gas service, (c) comply with the Commission's General Orders, (d) are compatible with, and meet Utility's then-current planning, design standards, design criteria, specifications for equipment and material, construction standards and methods, and operational and maintenance requirements, and (e) otherwise satisfy all of Interconnector's representations, warranties, and covenants set forth in the SRGIA arising out of Interconnector's election of the Self-Build Option.
Condition of System. Customer agrees to accept the equipment, pipes and systems for the provision and metering of the chilled water to the Building (the “System”) for the remainder of the term (as extended hereby) in its current “AS-IS” and “WHERE-IS” and “WITH ALL FAULTS” condition as of the date of this Second Amendment, and Company shall have no obligation to make any improvements or modifications to the System. However, Company shall, during the term of the Agreement, maintain the portion of the System located on Company’s property in good working order and condition. Customer shall continue to be responsible, at Customer’s sole cost and expense, for the repair, maintenance and replacement of the System (or any portion thereof) located on or under the Property up to the point of delivery and shall keep the same in good repair, order and condition. For clarification, the “point of delivery” as used in the Agreement and this Second Amendment is the property line of the Property. If Customer fails to make required repairs to the System (or any portion thereof) located on or under the Property promptly, Company, at Company’s election, shall have the right to make such repairs, and Customer shall reimburse Company on demand for Company’s actual costs of such repair. Upon the expiration or earlier termination of the Agreement (as amended), Company shall have the right, but not the obligation, to remove all or any portion of the System located on the Property.

Condition of System. To the best of Transferor’s knowledge, the System is in reasonably good operating condition, is capable of providing the end users a safe and reliable source of electric service, complies with the California Public Utilities Commission’s General Orders, is compatible and, in the case of new construction, meets the Utility’s design and construction standards insofar as they are related to safety and reliability. If Transferor elects to have Facilities installed by a qualified third party, Transferor warrants and agrees that Transferor has obtained or will obtain a one (1) year warranty on installation and parts from the contractor and/or supplier of materials, if applicable, which has been or will be assigned to Utility.
