Good Condition. All goods provided by Contractor pursuant to this Agreement shall be in good condition upon delivery and free from any and all defects, including, but not limited to, damaged packaging, spoilage, over-ripeness, decay, or bruising.
Good Condition. The Borrower and the Guarantor will maintain their respective Equipment, Real Property and other properties in good condition and repair (normal wear and tear excepted), and will pay and discharge or cause to be paid and discharged when due, the cost of repairs to or maintenance of the same, and will pay or cause to be paid all rental or mortgage payments due on such Equipment or Real Property.

The Borrower hereby agrees that, in the event it or any Subsidiary fails to pay or cause to be paid any such payment, the Agent may do so on behalf of the Banks after notice to the Borrower and be reimbursed by the Borrower therefor.

Good Condition. I represent that the UTV and any other UTV or other equipment received and/or obtained from PJ's is in good condition and further represent and warrant that it will be returned in the same condition, notwithstanding ordinary wear and tear.
Good Condition. Except as set forth on Schedule 4.01(w), all facilities used in connection with the operation of the businesses of Bank and its Subsidiaries and all of the material assets of Bank and its Subsidiaries, except real property of a type classified as OREO (other real estate owned) on the Bank's financial statements (i.e., foreclosed property not owned for the operation of the Bank's business), are free from material defects (normal wear and tear excepted) and have been maintained in accordance with normal industry practice.

Upon delivery of possession to Buyer, Seller's furniture, fixtures, equipment and machinery will be in reasonably good repair and working order, capable of producing sound and merchantable service. This warranty, however, shall not be deemed to apply to the condition of any furniture, fixtures, machinery or equipment not in use in the ordinary course of business on the Closing Date.
