By USCo. Without derogation of other obligations in this Agreement including obligations under the SLA, USCo shall, at all times during the Term, provide operational, maintenance and support services (“Maintenance Services”) in connection with the provision and use of the Customized Service, the Customized Client and Back-End Services, in each case at least at the same level of service set forth in the SLA, including without limitation by the operation and maintenance, in each case as more fully detailed in the SLA. Additionally, USCo shall answer any reasonable questions from JapanJV in a timely manner relating to localization of documentation to be provided by the JapanJV pursuant to Section 4.1.2. USCo shall assign to the performance of the Maintenance Services support engineers who will be responsible for maintaining the Service and will have the skills and qualifications required for performing the Maintenance Services.

By USCo. At all times during the Term, USCo hereby represents and warrants that: it has the full right, title and authority to enter into this Agreement, to provide all of the services contemplated in this Agreement and perform its obligations hereunder and to grant JapanJV the rights granted herein; and it has the legal authority or ownership rights to grant any license or right granted to JapanJV under this Agreement.
By USCo. During the Term, USCo grants to JapanJV an exclusive (in the Territory only), nontransferable, non-sublicensable license in the Territory in and to all rights (including Intellectual Property Rights) to (i) any USCo Property (ii) the USCo Sites, (iii) the USCo Marks and (iv) any other materials furnished by USCo in connection with this Agreement, expressly for purpose of use in connection with the Customized Services, Customized Client and USCo Sites as contemplated hereunder. JapanJV shall only use the USCo Marks according to the USCo Trademark Usage Guidelines, which shall be provided to JapanJV in writing, or in accordance with other reasonable written instructions. JapanJV’s use of any USCo Mark in connection with this Agreement will not create any right, title or interest in or to the use of the USCo Marks and all such use and goodwill associated with the USCo Marks will inure to the benefit of USCo. For quality control purposes, USCo may examine the use by JapanJV of USCo Marks from time to time upon reasonable notice to JapanJV. Should USCo reasonably object to JapanJV’s use of a USCo Mark, JapanJV shall cure the objections within thirty (30) days of notice thereof, or USCo may suspend JapanJV’s rights to use the USCo Marks until such objections are cured. USCo grants to USCo Japan JV a territorially exclusive non-transferable, non-sublicensable license. The last two sentences are not literally limitations on the scope of the license grant. The better practice may be to include a separate section specifying the licensee’s trademark quality control obligations.
