Bike Share Location. Developer shall allocate an outdoor area (“Bike Share Location”) of 14 feet by 12 feet in the Open Arcade as shown on the Project Plans to establish a bike share facility in conjunction with any bicycle sharing program instituted by the City or an independent operator selected by the City. Developer shall have no obligation to fund or operate any such program. Such bike share facility may be established if and when requested by the Planning Director by delivering a Notice of Intent to Proceed to Developer, which notice shall include plans and specifications of the proposed equipment and installation. The selection of the bike share operator and the installation of the bike share facility shall be subject to the approval of Developer, which approval shall not be unreasonably or untimely withheld. City shall make commercially reasonable efforts to require any operator of the bike share facility to defend, indemnify and hold harmless Developer, officers, agents, employees, and other representatives as well as Developer’s Hotel operator and tenants and their employees, officers, agents and other representatives (collectively “Developer Indemnified Parties”) from and against any and all losses, liabilities, damages, costs, expenses, claims, demands, suits, attorney’s fees and judgments (collectively referred to as “Damages”), including but not limited to claims for damage for personal injury (including death) and claims for property damage arising from the willful misconduct or active negligence of the bike share operator which occurs after Xxxxxxxxx’s receipt of the City’s Notice of Intent to Proceed relating directly to the operation of the bike share facility on the Property except to the extent any such Damages are caused by the active negligence or willful misconduct of any Developer Indemnified Parties. Notwithstanding anything to the contrary herein, nothing in this section shall be interpreted to require the City to defend, indemnify, and hold harmless any of the Developer Indemnified Parties for any reason whatsoever.

  • Co-Location 1. Each Party shall ensure that major suppliers in its territory provide to suppliers of public telecommunications services of the other Party physical co-location of equipment necessary for interconnection or access to unbundled network elements on a timely basis and on terms, conditions and at cost-oriented rates that are reasonable and non-discriminatory.

  • Data Location 1.1. The CONTRACTOR shall not store or transfer non-public COUNTY data outside of the United States. This includes backup data and Disaster Recovery locations. The CONTRACTOR will permit its personnel and contractors to access COUNTY data remotely only as required to provide technical support. (Remote access to data from outside the continental United States is prohibited unless approved in advance and in writing by the County.)

  • Service Location The services shall be performed at all contracting and participating facilities of the Contractor.

  • Data Center Location Upon the effective date of the Agreement, the Data Centers used to host Personal Data in the Cloud Service are located in the EEA or Switzerland. SAP will not migrate the Customer instance to a Data Center outside the EEA or Switzerland without Customer’s prior written consent (email permitted). If SAP plans to migrate the Customer instance to a Data Center within the EEA or to Switzerland, SAP will notify Customer in writing (email permitted) no later than thirty days before the planned migration.

  • Work Location While employed by the Company hereunder, the Executive shall perform his duties (when not traveling or engaged elsewhere in the performance of his duties) at the offices of the Company in Bermuda. The Executive shall travel to such places on the business of the Company in such manner and on such occasions as the Company may from time to time reasonably require.

  • Scaling Location Forest Service shall provide Scaling services at the Scaling site(s) shown in A10. The Scaling site(s) shown in A10 normally will be a non-exclusive site where more than one National Forest timber sale Purchaser may be served. Purchaser may request, in writing, an alternate Scal- ing site, such as at a private mill yard, private truck ramp, or a privately operated log transfer facility. Contracting Of- ficer may approve an alternate Scaling site, when Con- tracting Officer determines that Scaling conditions at an alternate site are acceptable.
