Approved Facilities. The Approved Facilities (i) comply in all material respects with all relevant and applicable Law and standards and have all relevant regulatory permits and approvals including valid Manufacturing Licenses and Manufacturing Approvals; and (ii) currently have, and Pacira shall use commercially reasonable efforts to maintain, the necessary Equipment and personnel required for the manufacture of the Licensed Product in compliance with the NADA.

Approved Facilities. The SpinCo Licensees are prohibited from moving the Manufacturing Line IP and/or elements of the manufacturing lines embodying Manufacturing Line IP out of the Approved Facilities, or from duplicating the Manufacturing Line IP and/or elements of the manufacturing lines embodying Manufacturing Line IP, outside the Approved Facilities, without Parent’s prior written consent, which consent will not be unreasonably withheld. If Parent approves the SpinCo Licensees’ request to move the Manufacturing Line IP and/or elements of the manufacturing lines embodying Manufacturing Line IP to a new facility, then such facility shall be deemed added to the Approved Facilities. Notwithstanding the preceding language, the manufacturing lines of the SpinCo Business that produce the Zodiac patch pump, as existing at the Distribution Date, may be transferred to a contract manufacturer without prior consent, provided SpinCo provides Parent notice of such activity and provided that the protections set forth in Article IV apply to the extent MLIP is present in such lines.
Approved Facilities. Within a commercially reasonable time frame and upon written request by Manufacturer, Pharmacy will provide Manufacturer with the following information with respect to any Approved Facility set forth on Exhibit B: (i) state board licensure number, classification, date issued and expiration number, (ii) FDA registration information, if applicable (e.g., manufacture, repackage, re-label, and wholesale distributor), (iii) DEA registration number, if applicable, (iv) business activity, (v) current registration year or (vi) other information reasonably requested and required by Manufacturer.

Approved Facilities. 16.1. Licensor is committed to having its products produced in manufacturing facilities that operate under responsible, safe and humane conditions. To that end, Licensee agrees that Licensee shall be entitled to manufacture the Licensed Products in only those manufacturing facilities (third-party or owned) for which Licensee has obtained Licensor's prior written approval (and which approval has not been subsequently revoked by Licensor). Licensee shall submit to Licensor a request for approval to utilize a manufacturing facility (third-party or owned) in the form attached hereto as Schedule C which approval may be withheld, conditioned or revoked in Licensor's sole discretion. Licensor shall grant written approval in a form consistent with Schedule D. In no event shall such approval be unreasonably withheld or delayed. In the event that Licensee uses a third party to manufacture the Licensed Products, Licensee shall nevertheless remain primarily obligated under all of the provisions of this Agreement. Licensee shall inform Licensor in writing if an approved facility is sold and must receive Licensor's written approval of the new entity before production may resume. The word "sold" as used in the preceding sentence includes a change of controlling interest. In the event Licensee manufactures Licensed Products in a facility that has not been approved or in a facility in which approval has been revoked, Licensee shall remove all Licensed Marks, including tags and other means of identifying Licensor or the Licensed Marks, from the Licensed Products manufactured at such facilities and take such other measures as Licensor in its sole discretion deem necessary to protect the Licensed Marks and Licensor.
Approved Facilities. The irradiation treatment facility must be approved by APHIS. In order to be approved, a facil- ity must fulfill the requirements in paragraphs (c) and (d) of this section.

Approved Facilities. “Approved Facility(ies)” means any one of or any combination of the: Approved C&D Processing Facility, Approved Disposal Facilities, Approved Organic Waste Processing Facilities, Approved Source Separated Recyclable Materials Processing Facility, and Approved Transfer Facility(ies), each of which are defined in Exhibit # 2.
Approved Facilities. Approved Facilities shall be any facility that is included in the list of Approved Facilities maintained by the City of Minneapolis as required pursuant to its collective bargaining agreements with the Police Federation and IAFF Local 82.

Hauler must receive written advance approval from City to use any Facility not listed above. Hauler is responsible for ensuring that each Facility it uses is properly permitted prior to requesting City approval to use such Facility.
